LIMITED WARRANTY
Seller warrants to the ong1nal purchaser that the equipment to be delivered pursuant to this Agreement w,II be as described herein and will be free from defects
in material or workmanship. Minor dev1ahons which do not affect the performance of lhe equipment shall not be deemed to constitute either a failure lo conform lo
the spec1f1cabons or a defect ,n matenal or workmanship
This warranty shall extend for a penod of twelve (12) months from the initial date of sh1pm11nt Should any failure of conform,t)• to this warranty appear wilhin twelve
(12) months from the InitIaf date of shipment, Seller shall. upon immediate nouficallon or such alleged failure and substanhallon that !he equipment has been operated
and maintained In accordance with Seller's recommendabons and standard industry practices, correct sueh defects by suitable repair or replacement at l1S own expense
Seller's liability under this warranty shall cease 11 any ma)Or repairs 10 or any replacement or modificabon or the equipment Is made by any person other than Seller's
personnel or persons working under the supervI51on of Seller's personnel, unless authorized by Seller In writing. Further. Iha warranty shall cease unless the Buyer
has operated the equipment in strict compliance with operabng InstruclIons and manuals. rt any, provided for the equipment. and unless Buyer operates the equipment
in normal use and w,th proper maintenance.
If the equipment contains components from another manufacturer and are subJecl lo the manufacturer's warranty, then Seller's liabIh1y shall be l1m11ed lo the extent
of the warranty which Seller recetved from the manufacturer or supplier of !he equipment component parts. Seller's liability shan be no greater than the liability of
the manufacturer or supplier as determined by a final 1udgment by the Buyer against the manufacturer or supplier ot such components. Seller wm cooperate wrth
Buyer in such legal acoon but at Buyer's expense.
THIS WARRANTY IS EXPRESSLY IN LIEU OF ANY AND ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY
OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR OTHER WARRANTY OF QUALITY, EXCEPT THE WARRANTY OF TITLE THIS WARRANTY
CONSTrrUTES THE EXCLUSIVE REMEDY, and shall not be deemed 10 have failed of I1s essential purpose so long as Seller Is w1fhng and able lo correct defects
covered by the warranty in the manner prescribed. The sole purpose of the exclusive remedy shall be to provide Buyer with free repair and/or replacement In the
manner and tor the bme period provided herein
The entire agreement between lhe pa111es ,s embodied In this writing, which constitutes the final expression of lhe parties. and 11 IS the complete and exclusive
statement of the terms of lhe agreement. No other warranbes are given beyond those set out In this writing.
LIMITATION OF LIABILITY SELLER SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE FOR DIRECT OR INDIRECT, SPECIAL DAMAGES, INCIOENTAL
OR CONSEQUENTIAL such as but not limited 10, toss of profits, damage to or loss of other property, downtime costs of the equipment. delay expenses, overhead
or capital costs, claims or Buyer's customers or ac11vItIes dependent upon the equipment.
Except 10 the extent provided in the LIMrrED WARRANTY, Seller shall not be liable for any claim or loss ans,ng out of or related to this agreement or the equipment
provided pursuant thereto, whether such claim allegedly arises or IS based on contract, warranty, tort (including negligence), stnct I,abllily in tort or otherw,se. Uabihly
shall not In any event exceed the cost of !he equipment upon which such liabAity is based
SEVERABILITY If any portion or clause of this agreement Is held mvahd or unenforceable as lo any person or under any circumstances, the invalidity or lack of
application shall not Impair or affect the other proviSlons and the application of those provisions which can be given effect w1thou1 the invalid or unenforceable provis10n
or application. With this intention, the proviS10ns of this agreement are declared lo be severable.
