Product License Agreement
The partiesto thisagreementare you, the end customer, and either (i) where you have purchased yourProductwithin the Americas, Fortinet,
Inc., or(ii) where you have purchased yourProductoutside of the Americas,FortinetSingapore Private Limited (each referred to herein as
"Fortinet"). CAREFULLYREAD THE FOLLOWING LEGAL AGREEMENT (THE OR THIS“AGREEMENT” OR “EULA”). USEOR INSTALLATION
OF FORTINET PRODUCT(S) AND ANYUPDATESTHERETO, INCLUDING HARDWARE APPLIANCEPRODUCTS, SOFTWAREAND
FIRMWARE INCLUDED THEREIN BYFORTINET, AND STAND-ALONE SOFTWAREPRODUCTSSOLD BYFORTINET (TOGETHER, THE
"PRODUCTS") CONSTITUTESACCEPTANCEBYYOU OF THETERMSIN THISAGREEMENT, ASAMENDED OR UPDATED FROM TIME TO
TIME IN FORTINET’SDISCRETION BYFORTINET PUBLISHINGAN AMENDED OR UPDATED VERSION. FORTINET SHALL NOT BE BOUND
BYANYADDITIONAL AND/OR CONFLICTINGPROVISIONSIN ANYORDER, RELEASE, ACCEPTANCEOR OTHER WRITTEN
CORRESPONDENCE OR OTHER WRITTEN OR VERBAL COMMUNICATION UNLESSEXPRESSLYAGREED TO IN AWRITING SIGNED BY
THE GENERAL COUNSEL OF FORTINET. IF YOU DO NOT AGREETO ALL OF THE TERMSOF THISAGREEMENT, DONOT START THE
INSTALLATION PROCESSOR USETHE PRODUCTS. IF YOU DONOT AGREETOTHE TERMSOF THISAGREEMENT, YOU SHOULD
IMMEDIATELY, AND IN NO EVENT LATER THAN FIVE(5) CALENDAR DAYSAFTER YOUR RECEIPT OF THE PRODUCT IMMEDIATELY
NOTIFYTHEFORTINET LEGAL TEAM IN WRITINGAT LEGAL@FORTINET.COM OF REQUESTED CHANGESTOTHISAGREEMENT.
1. License Grant.
Thisisa license, not a salesagreement, between you and Fortinet. The term "Software", asused throughoutthisAgreement, includesall
Fortinet and thirdpartyfirmware and software provided to you with, orincorporated into, Fortinet appliancesand anystand-alone software
provided to you byFortinet, with the exception of anyopen source software contained in Fortinet’sProductswhich isdiscussed in detailin section
15 below, and the term “Software” includesanyaccompanying documentation, anyupdatesand enhancementsof the software orfirmware
provided to you byFortinet, atitsoption. Fortinet grantsto you a non-transferable (exceptasprovided in section 5 ("Transfer") and section 15
("Open Source Software") below), non-exclusive, revocable (in the event of yourfailure to complywith these termsorin the event Fortinetisnot
properlypaid forthe applicable Product) license to use the Software solelyforyourinternalbusinesspurposes(provided, if a substantialportion of
yourbusinessisto provide managed service providerservicesto yourend-customers, you mayuse the Software embedded in FortiGate and
supporting hardware appliancesto provide those services, subjectto the otherrestrictionsin thisAgreement), in accordance with the termsset
forth in thisAgreement and subjectto anyfurtherrestrictionsin Fortinetdocumentation, and solelyon the Fortinet appliance, or, in the case of
blades, CPUsordatabases, on the single blade, CPU ordatabase on which Fortinetinstalled the Software or, forstand-alone Software, solelyon
a single computerrunning a validlylicensed copyof the operating system forwhich the Software wasdesigned unlessand exceptsetforth in the
published documentation otherwise, or, in the case of blades, CPUsordatabases, on a single blade, CPU ordatabase. Forclarity,
notwithstanding anything to the contrary, alllicensesof Software to be installed on blades, CPUsordatabasesare licensed on a persingle blade,
solelyforone blade and notformultiple bladesthat maybe installed in a chassis, persingle CPU orpersingle database basis, asapplicable. The
Software is"in use" on anyFortinetapplianceswhen it isloaded into temporarymemory(i.e. RAM). You agree that, exceptforthe limited, specific
license rightsgranted in thissection 1, you receive no license rightsto the Software.
2. Limitation on Use.
You maynotattemptto, and, if you are a corporation, you are responsible to prevent youremployeesand contractorsfrom attempting to, (a)
modify, translate, reverse engineer, decompile, disassemble, create derivative worksbased on, sublicense, ordistribute the Software; (b) rentor
lease anyrightsin the Software in anyform to anythirdpartyormake the Software available oraccessible to thirdpartiesin anyothermanner; (c)
exceptasprovided in section 5, transferassign orsublicense right to anyotherperson orentity, (d) remove anyproprietarynotice, labels, ormarks
