on the Software, Products, and containers, or(e) use the Software forthird-partytraining, commercialtime-sharing orservice bureau use oruse
the Software to provide servicesto third partiesexceptasexpresslyset forth in thisAgreement.
3. Proprietary Rights.
Allrights, title, interest, and allcopyrightsto the Software and anycopymade thereof byyou and to anyProduct remain with Fortinet. You
acknowledge that no title to the intellectualpropertyin the Software orotherProductsistransferred to you and you willnotacquire anyrightsto
the Software orotherProductsexceptforthe specific license asexpresslysetforth in section 1 (“License Grant”) above. You expresslyagree and
acknowledge that Fortinetownsand shallretain allintellectualpropertyrightsin and to, and you have no intellectualpropertyrightsin and to, the
Productsand the Software otherthan the License Grant. You agree to keep confidentialallFortinetconfidentialinformation and onlyto use such
information forthe purposesforwhich Fortinetdisclosed it.
4. Term and Termination.
Exceptforevaluation and beta licensesorotherlicenses, such assubscription licenses, where the term of the license islimited perthe
evaluation/beta orother agreement, in the ordering documentsorotherwise, the term of the license isforthe duration of Fortinet'scopyrightin
the Software. Fortinet mayterminate thisAgreement, and the licensesand otherrightsherein, immediatelywithoutnotice if you breach orfailto
complywith anyof the termsand conditionsof thisAgreement orforotherreasonsasstated in Fortinet’sotherdocumentation. You agree that,
upon such termination, you willcease using the Software and anyProduct and eitherdestroyallcopiesof the Fortinetdocumentation orreturn all
materialsto Fortinet.
5. Transfer.
If you are a Fortinetcontracted and authorized resellerordistributor of Products, you maytransfer(not rentorlease unlessspecificallyagreed to
in writing byFortinet) the Software to one end useron a permanent basis, provided that: (i) you ensure that yourcustomerand the end user
receivesa copyof thisAgreement, isbound byitstermsand conditions, and, byselling the Productor Software, you herebyagree to enforce the
termsin thisAgreementagainstsuch end user, (ii) you at alltimescomplywith allapplicable United Statesexportcontrollawsand regulations, and
(iii) you agree to refund anyfeespaid to you byan end userwho purchased Product(s) from you but doesnotagree to the termscontained in this
Agreement and therefore wishesto return the Product(s) asprovided forin thisAgreement. Further, if you are a non-authorized resellerof
Products, you are not authorized to sellProduct(s) orSoftware, but, regardless, byselling Product(s) orSoftware, you herebyagree you are
bound bythe restrictionsand obligationsherein and are bound to: (i) ensure thatyourcustomerand the end userreceive a copyof this
Agreement and are bound in fullbyallrestrictionsand obligationsherein (ii) enforce the restrictionsand obligationsin thisAgreementagainstsuch
customerand/orend user, (iii) complywith allapplicable United Statesexportcontrollawsand regulationsand allotherapplicable laws, and (iv)
refund anyfeespaid to you bya customerand/orend userwho purchased Product(s) from you butdoesnotagree to the restrictionsand
obligationscontained in thisAgreement and therefore wishesto return the Product(s) asprovided for in thisAgreement. Notwithstanding
anything to the contrary, distributors, resellersand otherFortinet partners(a) are notagentsof Fortinetand (b) are notauthorized to bind Fortinet
in anyway.
6. Limited Warranty.
Fortinet providesthislimited warrantyforitsproductonlyto the single end-userperson orentitythat originallypurchased the Product from Fortinet
or itsauthorized resellerordistributor and paid forsuch Product. The warrantyisonlyvalid forProductswhich are properlyregistered on Fortinet’s
SupportWebsite, https://support.fortinet.com, orsuch otherwebsite asprovided byFortinet, orforwhich the warrantyotherwise starts
according to Fortinet’spolicies. The warrantyperiodsdiscussed below willstartaccording to Fortinet’spoliciesposted at
http://www.fortinet.com/aboutus/legal.htmlorsuch otherwebsite asprovided byFortinet. It isthe Fortinetdistributor’sand reseller’sresponsibility
to make clearto the end userthe date the product wasoriginallyshipped from Fortinet, and it isthe end user’sresponsibilityto understand the
originalship date from the partyfrom which the end userpurchased the product. Allwarrantyclaimsmust be submitted in writing to Fortinet
before the expiration of the warrantyterm orsuch claimsare waived in full. Fortinetprovidesno warrantyforanybeta, donation orevaluation
Products, foranyspare partsnot purchased directlyfrom Fortinetbythe end-user, foranyaccessories, orforanystand-alone software. Fortinet
warrantsthatthe hardware portion of the Products, including spare partsunlessnoted otherwise ("Hardware") willbe free from materialdefects
in workmanship ascompared to the functionalspecificationsforthe period setforth asfollowsand applicable to the Product type ("Hardware
WarrantyPeriod"): a three hundred sixty-five (365) daylimited warrantyforthe Hardware excluding spare parts, powersupplies, and accessories
(provided, solelywith respectto FortiAPand Meru APindoor Wi-Fiaccesspoint Hardware appliance productsand FortiSwitch Hardware
appliance productsotherthan the FortiSwitch-5000 series(forboth excluding spare parts, powersupplies, and accessories), the warranty
herein shalllastfrom the startof the warrantyperiod asdiscussed above untilfive (5) yearsfollowing the productannounced end-of-life date),
and, forspare parts, powersupplies, and accessories, solelya ninety(90) dayslimited warranty. Fortinet'ssole obligation shallbe to repairoroffer
replacement Hardware forthe defective Hardware at no charge to the originalowner. Thisobligation isexclusive of transportfees, labor, de-
