Such repairorreplacement willbe rendered byFortinetat an authorized Fortinet service facilityasdetermined byFortinet. The replacement
Hardware need notbe new orof an identicalmake, model, orpart; Fortinetmay, in itsdiscretion, replace the defective Hardware (oranypart
thereof) with anyreconditioned Product that Fortinetreasonablydeterminesissubstantiallyequivalent(orsuperior) in allmaterialrespectsto the
defective Hardware. The Hardware WarrantyPeriod forthe repaired orreplacement Hardware shallbe forthe greaterof the remaining
Hardware WarrantyPeriod orninetydaysfrom the deliveryof the repaired orreplacement Hardware. If Fortinetdeterminesin itsreasonable
discretion that a materialdefectisincapable of correction orthatit isnotpracticalto repairorreplace defective Hardware, the price paid bythe
originalpurchaserforthe defective Hardware willbe refunded byFortinetupon return to Fortinet of the defective Hardware. AllHardware (orpart
thereof) that isreplaced byFortinet, orforwhich the purchase price isrefunded, shallbecome the propertyof Fortinetupon replacementor
refund. Fortinet warrantsthatthe software asinitiallyshipped with the Hardware Productswillsubstantiallyconform to Fortinet'sthen current
functionalspecificationsforthe Software, asset forth in the applicable documentation fora period of ninety(90) days("Software Warranty
Period"), if the Software isproperlyinstalled on approved Hardware and operated ascontemplated in itsdocumentation. Fortinet'ssole
obligation shallbe to repairorofferreplacementSoftware forthe non-conforming Software with software that substantiallyconformsto
Fortinet'sfunctionalspecifications. Thisobligation isexclusive of transportfees, labor, de-installation, installation, reconfiguration, orreturn
shipment and handling feesand costs, and Fortinetshallhave no obligation related thereto. Except asotherwise agreed byFortinetin writing, the
warrantyreplacement Software isprovided onlyto the originallicensee, and issubject to the termsand conditionsof the license granted by
Fortinet forthe Software. The Software WarrantyPeriod shallextend foran additionalninety(90) daysafteranywarrantyreplacementsoftware is
delivered. If Fortinet determinesin itsreasonable discretion thata materialnon-conformance isincapable of correction orthatit isnotpracticalto
repairorreplace the non-conforming Software, the price paid bythe originallicensee forthe non-conforming Software willbe refunded by
Fortinet; provided thatthe non-conforming Software (and allcopiesthereof) isfirst returned to Fortinet. The license granted respecting any
Software forwhich a refund isgiven automaticallyterminatesimmediatelyupon refund. Forpurpose of the above hardware and software
warranties, the term “functionalspecifications” meanssolelythose specificationsauthorized and published byFortinet thatexpresslystate in
such specificationsthattheyare the functionalspecificationsreferred to in thissection 6 of thisAgreement, and, in the event no such
specificationsare provided to you with the Software orHardware, there shallbe no warrantyon such Software.
7. Disclaimer of Other Warranties and Restrictions.
EXCEPT FOR THELIMITED WARRANTYSPECIFIED IN SECTION 6 ABOVE, THE PRODUCT AND SOFTWARE ARE PROVIDED "AS-IS"
WITHOUT ANYWARRANTYOF ANYKIND INCLUDING, WITHOUT LIMITATION, ANYIMPLIED WARRANTY, IMPLIED OR EXPRESS
WARRANTYOF MERCHANTABILITY, OR WARRANTYFOR FITNESSFOR APARTICULAR PURPOSE AND NON-INFRINGEMENT. IF ANY
IMPLIED WARRANTYCANNOT BE DISCLAIMED IN ANYTERRITORYWHEREAPRODUCT ISSOLD, THE DURATION OF SUCH IMPLIED
WARRANTYSHALL BELIMITED TO NINETY(90) DAYSFROM THEDATE OF ORIGINAL SHIPMENT FROM FORTINET. EXCEPT AS
EXPRESSLYCOVERED UNDER THELIMITED WARRANTYPROVIDED HEREIN, THE ENTIRE RISKASTO THE QUALITY, SELECTION AND
PERFORMANCEOF THE PRODUCT ISWITH THE PURCHASER OF THEPRODUCT. NOTWITHSTANDING ANYTHING TO THECONTRARY,
THE HARDWARE WARRANTYPERIOD DISCUSSED ABOVEDOESNOT APPLYTO CERTAIN FORTINET PRODUCTS, INCLUDING
FORTITOKEN WHICH HASA365 DAYWARRANTYFROM THE DATEOF SHIPMENT FROM FORTINET’SFACILITIES, AND THESOFTWARE
WARRANTYDOESNOT APPLYTO CERTAIN FORTINET PRODUCTS, INCLUDING FORTIGATE-ONE AND VDOM SOFTWARE. YOU HEREBY
ACKNOWLEDGEAND AGREE THAT NOVENDOR CAN ASSURECOMPLETE SECURITYAND NOTHING HEREIN OR ELSEWHERESHALL BE
DEEMED TO IMPLYASECURITYGUARANTEEOR ASSURANCE.
The warrantyin Section 6 above doesnot applyif the Software, Product oranyother equipment upon which the Software isauthorized to be
used (a) hasbeen altered, exceptbyFortinetoritsauthorized representative, (b) hasnotbeen installed, operated, repaired, updated to the latest
version, or maintained in accordance with instructionssupplied byFortinet, (c) hasbeen subjected to abnormalphysicalor electricalstress,
misuse, negligence, oraccident; (d) islicensed forbeta, evaluation, donation, testing ordemonstration purposesorforwhich Fortinetdoesnot
charge a purchase price orlicense fee. In the case of beta, testing, evaluation, donation orfree Software orProduct, the end user
acknowledgesand agreesthat such Software orProduct maycontain bugsorerrorsand could cause system failures, data lossand other
issues, and the end useragreesthat such Software orProductisprovided “as-is” without anywarrantywhatsoever, and Fortinetdisclaimsany
warrantyorliabilitywhatsoever. An end user’suse of evaluation orbeta Software orProduct islimited to thirty(30) daysfrom originalshipment
unlessotherwise agreed in writing byFortinet.
8. Governing Law.
Anydisputesarising out of thisAgreement orFortinet’slimited warrantyshallbe governed bythe lawsof the state of California, without regardto
the conflictof lawsprinciples. In the event of anydisputesarising outof thisAgreementorFortinet’slimited warranty, the partiessubmit to the
jurisdiction of the federaland state courtslocated in Santa Clara County, California, asapplicable.
