uponpaymentofalltravelexpensesbyBuyer.
WarrantyperiodfortheLevelgage,LevelRat,Acculevel,Microlevel,Preciseline,andVal-
uelineproductsis24(twenty-four)monthsfromdateofshipment.Warrantyperiodfor
allotherproductshereinis12(twelve)monthsfromdateofshipment.Warrantyrepair
coversallapplicablepartsandlabor.Thiswarrantyisgiveninlieuofanyotherwarranty,
expressorimplied.KellerAmerica,Inc.explicitlydisclaimsanyimpliedwarranesof
merchantabilityandtnessforaparcularpurpose.Therearenowarranes,expressor
implied,thatextendbeyondthedescriponherein.Thesoleandexclusiveremedyfor
anyclaimsagainstKellerAmerica,Inc.shallbethewarrantydescribedinthisdocument.
Alldamages,directorconsequenal,limitedtothedescribedwarrantyareexcluded.
Repairs-UnlessotherwiserequestedinwringbytheBuyer,allproductsreturnedto
KellerAmerica,Inc.underthetermsofthewarrantywillbecheckedandanalyzedinor-
dertodeterminethecauseofthedefault(s)claimedbytheBuyer.Areportwillthenbe
submiedtotheBuyerpoinngoutthenatureofthedefault(s),thepartyresponsible
forthedefault(s)andthequotaonoftherepair,ifneeded.Forfurtherrepairinstruc-
onsgotowww.kelleramerica.com.
Complaints-AllclaimsordisputesmustbemadeinwringtoKellerAmerica,Inc.a
maximumof60daysfromreceiptofthegoods,includingdiscoveryoffaultsnotpre-
viouslyapparent.Ifthewarrantyclaimsarejused,KellerAmerica,Inc.isfreeatits
discreontorepair,replaceorissuecredit.Nofurthercompensaonfordamageswillbe
made.
AnydisputesorclaimsofBuyermustbeiniatedinapropercourtorotheradjudicave
body,asapplicable,withinone(1)yearfromthedateofshipmentbyKellerAmerica,
Inc.,oritsrepresentave(s),orsuchclaimshallbedeemedinvalidorexpiredandcannot
berenewed.Totheextentallowed,thislimitaonperiodshalltrumpanyapplicable
statutorylimitaonsperiodthatmaystatealongerperiod.
Limitaon of responsibility -Ourresponsibilityconcernsthecorrectfunconofour
productsonly.Itcannotbeextendedtothewholesysteminwhichtheyareused.Our
responsibilityislimitedtothereplacement,repairorreimbursementofthegoodswe
agreearedefecveornon-conforming.Theclaimmustbeinwringwithin60daysfrom
receiptofthegoods.
Place of jurisdicon / applicable law -Thecontractmadebyacceptanceofthisoer
shallbedeemedmadeintheStateofVirginiaandshallbegovernedbyandconstrued
inaccordancewiththelawsofthatstatewithoutreferencetoorapplicaonofany
conictsoflawsprinciplesandwithoutconsideraonoftheplaceofexecuon.Buyer
expresslyagreestothesubjectmaerandpersonaljurisdiconoftheCircuitCourtsfor
theCityofNewportNews,Virginia,orthefederalDistrictCourtfortheEasternDistrict
ofVirginia,NewportNewsDivision.
Assignment-Neitherthisoernoranycontractresulngtherefrommaybeassigned
ortransferredinwholeorpartwithoutthepriorwrienconsentofKellerAmerica,Inc.

Price -Unlessotherwisespeciedinthequotaon,ourpricesareinUSdollars(USD).
Theyareexclusiveoffreightcostsandofallstateandlocalsales,use,excise,privilege
andsimilartaxes.SuchtaxesimposedonKellerAmerica,Inc.orwhichKellerAmerica,
Inc.hasadutytocollectinconneconwiththesaleordeliveryoftheproductsde-
scribedonthequotaonshallbepaidbyBuyerandwillappearasseparateitemsonthe
invoice.
Shipment / freight -DeliveriesareF.O.B.NewportNews,VA.Titleandriskoflossshall
passtoBuyerupontenderoftheproductsbyKellerAmerica,Inc.toacommoncarrier.
InabsenceofspecicwrieninstruconfromBuyer,KellerAmerica,Inc.willselectthe
commoncarrier,butKellerAmerica,Inc.shallnottherebyincuranyliabilityinconnec-
onwithshipment.Buyershallberesponsibleforanyfreightcharge.Declaredvaluefor
eachshipmentwillbeamaximumof$100regardlessoftheactualvalueofthegoods,
notwithstandingwrieninstruconsfromtheBuyerspecifyingahigherdeclaredvalue.
Iftheproductsareshippedfreightprepaid,BuyershallpayKellerAmerica,Inc.theap-
propriatefreightcharges,whichwillbeshownasseparateitemsontheinvoice.
Payment -TermsareindicatedonourConrmaonofOrderandonourInvoices.Keller
America,Inc.willsubmitaninvoicetoBuyerforeachshipmentatthemeofshipment.
Exceptasotherwiseprovidedonthequotaon,Buyershallpaytheamountinvoicedby
KellerAmerica,Inc.within30daysfromthedateoftheinvoice.Ifinthejudgmentof
KellerAmerica,Inc.thenancialcondionorpaymentrecordofBuyeratanymedoes
notjusfyshipmentunderthepaymenttermsspeciedabove,KellerAmerica,Inc.may
refusetoshipunlessitreceivespaymentinadvance,oratitsopon,paymentupon
delivery.2%interestpermonthischargedonoverdueaccounts.
Documentaon -Theinformaongiveninourdocumentaon,printedmaer,data
sheetsandpricelistsiswithoutcommitment.Thisinformaonspeciestheproductbut
isnowarranty,unlessagreedinwring.
Warranes -KellerAmerica,Inc.warrantsthattheproductsthatitsellsaredelivered
freefromdefectsinmaterialandworkmanship.KellerAmerica,Inc.’sliabilityunderthis
warrantyislimitedtoreplacingorrepairingorissuingacreditnote,atitsopon,for
anyproductwhichisreturnedtothefactory,transportaonchargesprepaid,and
whichisdeterminedbyKellerAmerica,Inc.tobedefecve.Thiswarrantydoesnotapply
tobaeriesandaccumulatorsandtoanyproductwhichhasbeensubjectedtoordam-
agedduetomisuse,misapplicaon,negligenceoraccident,orwhichhasbeenrepaired
oralteredwithoutexpresspriorandwrienconsentfromKellerAmerica,Inc.Inorder
toobtainserviceunderthetermsofthewarranty,BuyermustnofyKellerAmerica,
Inc.ofanydefectsbeforetheexpiraonofthewarrantyperiodandmakesuitable
arrangementsfortheperformanceofservices.Inallcases,Buyershallberesponsible
forpackagingandshippingtheproductstotheKellerAmerica,Inc.plantwithshipping
chargesprepaid.KellerAmerica,Inc.shallpayforthereturnofanyproductstoBuyerif
theshipmentistoalocaonwithintheconnentalUSA.Buyershallberesponsiblefor
payingallshippingdues,taxes,andotherchargesforproductsreturnedtoanyother
locaon.KellerAmerica,Inc.willprovideon-siteserviceonlyuponprioragreementand
