St a n d a r d Wa r ra nty. E x cept as indicated otherwise be l o w,Di n ex wa r-
ra n ts that the Wa rra n ted Prod u c ts will be free from defe c ts in title,
m a te r ial and wo r kmanship under normal use and serv i ce and will pe r-
fo r m substantially in acco r d a n ce with Di n e x’s wri t ten te c h n i c al spe c i f i -
cations for the Wa rra n ted Prod u c ts (as such spe c i f i cations exist on the
d a te the Wa r ra n ted Prod u cts are shipped) (the “ P rod u ct Spe c i f i c at i o n s” ) .
This wa rra nty covers both parts and labor and is available only to end-
users (the “Cu s t o m e r s ”) that purchase the Wa rra n ted Prod u c ts fro m
Di n ex or its authori z ed distri b u t o r s .For the purpose of these wa rra n t i e s ,
a defe ct is dete r mined by Di n e x after its good faith inve s t i g a t i o n .
Di n ex So ftwa r e. In addition to the other wa r ra n ties set fo r th here i n ,
with re s p e ct to Di n ex’s licensed softwa r e,Di n ex wa r ra n ts that it has the
ri g h t to license or sublicense the softwa re to Cu s t omer for the purpo s e s
and subject to the te r ms and conditions set fo rth in Di n ex’s standard
te r ms and co n d i t i o n s .
Supplies and Ac ce s s o r i e s . Di n ex’s wa rra nty for its supplies and acce s -
s o r ies that are shipped with Wa rra nted Prod u c ts is cove r ed by a sepa-
rate wa rra n ty state m e n t, which is available at w w w . d i n e x . co m .
Se rv i ce s . Di n ex wa r ra n ts that any serv i c e it provides to Cu s t omer will
be pe rfo r med by trained individuals in a wo r km a n l i k e manner.
D U R AT I O N
Di n ex provides a one year wa r ra nty for the Wa r ra n ted Prod u ct s .The wa r -
ra n ty pe ri od begins on the date the Wa r ra n ted Prod u cts are shipped to
Cu s t o m e r.The wa r ra n ty pe ri od for any Wa r ra n ted Prod u ct or part fur-
nished to co rre c t a wa r ra n ty failure will be the unex p i r ed te r m of the
wa r ra n ty applicable to the re p a i r ed or re p l a c ed Wa r ra n ted Prod u ct .
R E M E D I E S
If Cu s t omer promptly notifies Di n ex of Cu s t o m e r’s wa r ra n ty claim and
m a k es the Wa r ra n ted Prod u c t available for serv i c e,Di n ex will,at its
o p t i o n , either repair or re p l a c e (with new or exchange re p l a c e m e n t
p a r ts) the non-co n f o r ming Wa r ra n ted Prod u c t or parts of the
Wa rra n ted Prod u c t . With re s p e c t to Di n ex’s licensed softwa r e, Di n e x
w i l l , at its option, either co r re c t the non-co n f o r m i t y or re p l a c e the
a p p l i c able licensed softwa r e.Wa rra n ty serv i c e will be pe rfo r med with-
out charge from 8:00 a.m.to 5:00 p. m . E S T, Mo n d ay - F ri d a y, exc l u d i n g
Di n e x holidays, and outside those hours at Di n ex’s then prevailing serv-
i c e rates and subject to the ava i l a b i l i t y of pe r s o n n e l . With re s pe c t to
Di n e x’s wa rra n ty for the serv i ces it provides to Cu s to m e r, Cu s t o m e r’s
exc l u s i v e re m e d y shall be the re - p e r fo r m a n c e of the serv i c es by Di n ex .
The fo r egoing remedies are Cu s to m e r ’s exc l u s i v e remedies and Di n ex’s
sole liability for wa rra n ty claims under this wa rra n ty state m e nt . This
exc l u s i v e re m e d y shall not have failed of its essential purpose (as that
te r m is used in the Un i f o r m Co m m e rcial Code) as long as Di n ex
remains willing to repair or re p l a c e defe c t i v e Wa rra n ted Prod u c ts with-
in a co m m e r cially reasonable time after being notified of Cu s to m e r ’s
wa rra n ty claim.

THESE WA R R ANTIES ARE EXC L USIVE AND IN LIEU OF ALL OTHER WA R -
RA N T I E S , WHETHER W R I TT E N , O RA L , E X P R E S S E D ,IMPLIED OR STAT U TO-
RY.E XCEPT AS PROVIDED HEREIN,NO EXPRESS OR IMPLIED WA R -
RA N T I E S , I N C LUDING BUT NOT LIMITED TO IMPLIED WA R R ANTIES OF
M E R C H A N TA B I L I TY,FITNESS FOR A PA R T I C U LAR PURPOSE, Q U I E T
E N J OY M E N T, S Y STEM INTEGRATION AND DATA ACC U RAC Y,W I L L
A P P LY.THERE ARE NO WA R RANTIES T H AT EXTEND BEYOND T H O S E
DESCRIBED IN THIS DOCUMENT AND NO PRIOR STAT E M E N TS BY ANY
OF DINEX’S REPRESENTATIVES SHALL MODIFY OR EXPAND T H E S E
WA R R A N T I E S . DINEX AND DINEX’S AFFILIATES AND REPRESENTAT I V E S
SHALL HAVE NO LIABILITY TO CUSTOMER FOR (1) ANY SPECIAL,P U N I -
T I V E ,I N C I D E N TA L , INDIRECT OR CONSEQUENTIAL DAMAGES ARISING
OUT OF OR IN CONNECTION WITH THE WA R R ANTED PRO D U C T S ,
REGARDLESS OF WHETHER SUCH LIABILITY SHALL BE CLAIMED IN
CO N T R AC T,TO R T,E Q U I TY OR OT H E RW I S E ,(2) ANY ASSISTANCE NOT
REQUIRED UNDER DINEX’S QUOTATION OR (3) ANYTHING OCC U R R I N G
AFTER THE WA R R A N T Y PERIOD ENDS.
DINEX’S STANDARD WA R R ANTIES ONLY APPLY TO END-USER-PUR-
CHASERS LO C ATED IN THE UNITED STATES AND CA N A D A . ANY SALE TO
E N D - U S E R - P U R CHASERS OUTSIDE THE UNITED STATES AND CA N A D A
WILL BE SUBJECT TO CO M M E R CIAL TERMS SPECIFICA L LY AGREED BY
DINEX AND THE END-USER PURC H A S E R . DINEX MAKES NO WA R R A N T Y,
EXPRESS OR IMPLIED,TO END-USER-PURCHASERS OUTSIDE THE UNITED
S TATES OR CANADA UNLESS OT H E RWISE EXPRESSLY AGREED IN W R I T I N G .
These wa rra nties do not apply to,and Di n ex shall not have any obliga-
tion to Cu s t omer hereunder with re s p e c t to, a n y wa rra n ty claim re s u l t -
ing from or arising out of:(i) normal wear and te a r;(ii) damage ca u s e d
by shipping or accident ; (iii) damage caused by impro p er installat i o n ,
repair or alte r ation not pe rfo r med by Di n ex ; (iv) the use of the
Wa rra n ted Prod u c t in co m b i n a tion with any softwa re, too l s, h a r dwa r e,
e q u i p m e n t, s u p p l i e s ,a c c e s s o r ies or any other mate rials or serv i c e s ,n o t
f u r nished by Di n e x or re c ommended in writing by Di n ex ; (v) the use of
the Wa rra nted Prod u c t in a manner or env i r o n m e n t, or for any pur-
po s e , for which Di n e x did not design or license it,or inco n s i s t e nt with
Di n e x’s re c o m m e n d a tions or instru c tions on use including,but not lim-
i t ed to,power supply re q u i r e m e nts identified in Prod u ct Spe c i f i cat i o n s ;
(vi) any alte rat i o n , m o d i f i c ation or enhance m e n t of the Wa r ra n te d
Prod u c t by Cu s t omer or any third party not authori zed or approved in
w r iting by Di n ex ; (vii) Wa rra n ted Prod u c t manufact u red to meet cus-
tomer spe c i f i c ations or designs; or (viii) any acce s s o r ies or supplies or
other equipment or prod u cts that may be delive r ed with the
Wa rra n ted Prod u c t .
In addition,these wa r ra n ties do not cove r:(i) Any defe c t or deficiency
(including failure to co n fo r m to Prod u ct Spe c i f i cations) that re s u l t s,i n
whole or in part,f rom any impro p er sto rage or handling,f a i l u r e to
m a i n tain the Wa r ra nted Prod u cts in the manner descri bed in any
a p p l i c able instru c tions or spe c i f i cat i o n s, i n a d e q u a te back-up or viru s
p r o t e c tion or any cause exte rnal to the Wa rra n ted Prod u c ts or beyo n d
Di n e x’s reasonable co n t r o l , i n c l u d i n g ,but not limited to,power failure
and failure to keep Cu s t o m e r ’s site clean and free of dust,sand and
other particles or debri s ; (ii) the pay m e n t or re i m b u r s e m e nt of any
f a c i l i t y costs arising from repair or re p l a c e m e n t of the Wa rra n te d
Prod u c t s ; (iii) any adjustment,such as alignment,ca l i b r at i o n , or other
n o r mal preve nt a t i v e mainte n a n ce re q u i r ed of Cu s t o m e r;and (iv)
ex pendable supply ite m s .
