Limited Use Database Software License Agreement and Limited Warranty
IRCON, INC. Modline 5 Model MSI Multi-Sensor Interface Database Software
Database Software is installed in the Model MSI and provided as a file on CD ROM
IMPORTANT! THE DATABASE SOFTWARE IS LICENSED ONLY ON THE CONDITION THAT THE LICENSEE
(REFERRED TO IN THIS AGREEMENT AS "YOU") AGREES WITH IRCON, INC. (REFERRED TO IN THIS
AGREEMENT AS "IRCON") TO THE TERMS AND CONDITIONS SET FORTH IN THE FOLLOWING LEGAL
AGREEMENT.
LIMITED USE LICENSE AGREEMENT
IRCON will grant You a nonexclusive, nontransferable license to use the Database Software and
accompanying documentation including Database Software updates, if any, if you agree to the following
terms and conditions:
1.TERM. This Agreement is effective from the date on which You begin using the Modline 5 Multi-Sensor
Interface Model MSI with installed Database Software. This Agreement may be terminated by You at any
time by uninstalling the Database Software on any and all Model MSI Interfaces on which You have
installed the Database Software together with all copies, modifications, and adaptations in any form. It will
also terminate if You fail to comply with any material term or condition of this Agreement.
2. LICENSE. The license granted to You by IRCON when You use the Database Software authorizes You, or
affiliated company, to use the Database Software on the MSI Interface on which it was supplied. YOU MAY
NOT USE, COPY, OR MODIFY THE DATABASE SOFTWARE IN WHOLE OR IN PART, EXCEPT AS
EXPRESSLY PROVIDED IN THIS AGREEMENT.
3. OWNERSHIP. The Database Software is the sole and exclusive property of IRCON and/or its software
suppliers. By accepting distribution of this Database Software and accepting this Database Software
agreement license by using the Model MSI Interface with the Database Software, You do not become owner
of the Database Software, but are entitled to use the Database Software according to the terms of this
Agreement.
4. COPYRIGHT. The Database Software, including the related screen displays, are copyrighted materials.
You agree not to copy, modify or adapt the Database Software without the written consent of IRCON, in
whole or in part, except (1) for backup or archival purposes, and (2) as an essential step in the utilization of
the Database Software in conjunction with utilizing the Model MSI Interface Standard Features or Advanced
Connectivity Features, provided that such copy, modification, or adaptation is strictly for IRCON's intended
purpose for the Database Software as defined in this Agreement and in the accompanying documentation
materials. If necessary, Any other copying, modification or adaptation is a violation of this license
agreement and of applicable copyright laws, and shall result in the termination of your rights to use the
Database Software.
5. PROTECTION and SECURITY. You agree not to deliver or otherwise make available the Database
Software or any part thereof, including without limitation the object code of the Database Software, to any
party other than IRCON or its employees, except for purposes specifically related to your use of the
Database Software on Your Multi-Sensor Interface, without the prior written consent of IRCON. However,
You may contract with third parties to perform such modification if You contract with them to adhere to of
the terms of this license agreement. You agree to use reasonable efforts and take all reasonable steps to
safeguard the Database Software to ensure that no unauthorized copy, publication, disclosure or
distribution, in whole or in part, in any form shall be made. You acknowledge IRCON's claim that the
Database Software contains valuable confidential information and trade secrets that are the property of
IRCON and/or its suppliers, and that unauthorized use and/or copying are harmful to IRCON and/or its
software suppliers.
