ThisEnd-UserLicense Agreement(“EULA”)is a legalagreementbetween You (the company,individualor entitywho acquired the Software and any related
Hardware)and DigitalSecurityControls, a division of Tyco Safety Products Canada Ltd. (“DSC”), the manufacturerofthe integrated securitysystemsand the
developer of the software and anyrelated products or components(“HARDWARE”)which You acquired.
If the DSC software product(“SOFTWARE PRODUCT”or “SOFTWARE”)isintended to be accompanied byHARDWARE, and isNOT accompanied by new
HARDWARE, You maynot use, copyorinstall the SOFTWAREPRODUCT. The SOFTWAREPRODUCT includescomputer software, and mayinclude asso-
ciated media, printed materials,and “online” orelectronic documentation.
Anysoftware provided along with the SOFTWARE PRODUCTthat isassociated with a separate end-userlicense agreement islicensed to You under the
termsof that license agreement.
Byinstalling, copying, downloading, storing,accessing orotherwise using the SOFTWAREPRODUCT, You agree unconditionallyto be bound bythe termsof
thisEULA, even if thisEULA isdeemed to be a modification of any previousarrangement orcontract. If You do not agree to the terms of this EULA, DSC is
unwilling to license the SOFTWAREPRODUCT to You, and You have no right to use it.
SOFTWARE PRODUCT LICENSE
The SOFTWARE PRODUCTis protected by copyright laws and international copyrighttreaties, aswell asother intellectualproperty lawsand treaties. The
SOFTWAREPRODUCTislicensed, not sold.
1.GRANTOF LICENSEThisEULAgrantsYou the following rights:
Software Installation and Use -Foreach license You acquire, You mayhave onlyone copyof the SOFTWAREPRODUCT installed.
Storage/NetworkUse -The SOFTWAREPRODUCT may not be installed, accessed, displayed,run, shared orused concurrentlyon orfrom different com-
puters, including a workstation, terminalorotherdigitalelectronic device (“Device”). In other words, if You have severalworkstations, You willhave to acquire a
license foreach workstation where the SOFTWAREwillbe used.
Backup Copy-You maymake back-up copiesof the SOFTWAREPRODUCT, but You mayonly have one copyperlicense installed at anygiven time. You may
use the back-up copy solely for archival purposes. Except as expressly provided in this EULA, You may not otherwise make copies of the SOFTWARE
PRODUCT, including the printed materialsaccompanying the SOFTWARE.
2.DESCRIPTION OF OTHER RIGHTSAND LIMITATIONS
Limitations on Reverse Engineering, Decompilation and Disassembly - You may not reverse engineer, decompile, or disassemble the SOFTWARE
PRODUCT, except and onlyto the extent that such activity is expresslypermitted by applicable law notwithstanding this limitation. You may not make any
changes or modificationsto the Software, without the written permission of an officer of DSC. You may not remove anyproprietary notices, marks or labels
fromthe Software Product. You shallinstitute reasonable measuresto ensure compliance with the termsand conditionsof thisEULA.
Separation of Components- The SOFTWARE PRODUCT is licensed as a single product. Its component parts maynot be separated foruse on more than
one HARDWAREunit.
Single INTEGRATEDPRODUCT- If You acquired thisSOFTWAREwith HARDWARE, then the SOFTWARE PRODUCT islicensed with the HARDWAREas a
single integrated product. In thiscase, the SOFTWAREPRODUCT mayonlybe used with the HARDWAREasset forth in thisEULA.
Rental- You maynot rent,lease orlend the SOFTWAREPRODUCT. You maynot make it available to othersorpost it on a serverorweb site.
Software ProductTransfer-You maytransfer allof Yourrightsunderthis EULA onlyaspart of a permanent sale ortransferof the HARDWARE, provided You
retain no copies, You transfer all of the SOFTWARE PRODUCT (including all component parts, the media and printed materials, any upgrades and this
EULA),and provided the recipient agrees to the terms of this EULA. Ifthe SOFTWARE PRODUCTisan upgrade,anytransfer mustalso include allprior ver-
sions of the SOFTWAREPRODUCT.
Termination -Without prejudice to anyotherrights,DSC mayterminate thisEULAifYou failto complywith the termsand conditionsof thisEULA. In such event,
You mustdestroyallcopies of the SOFTWAREPRODUCT and allof itscomponent parts.
Trademarks-This EULAdoesnot grant You anyrightsin connection with anytrademarksorservice marksof DSCoritssuppliers.
3.COPYRIGHT- Alltitle and intellectualpropertyrights in and to the SOFTWAREPRODUCT (including butnot limited to any images, photographs, and text
incorporated into the SOFTWAREPRODUCT),the accompanying printed materials, and anycopiesof the SOFTWAREPRODUCT, are owned byDSC or its
suppliers. You may not copy the printed materialsaccompanying the SOFTWARE PRODUCT.All title and intellectual property rights in and to the content
which may be accessed through use of the SOFTWAREPRODUCT are the propertyof the respective content owner and may be protected by applicable
copyright orother intellectualpropertylawsand treaties.ThisEULAgrantsYou no rightsto use such content.All rightsnot expresslygranted underthis EULA
are reserved byDSC and itssuppliers.
4.EXPORT RESTRICTIONS-You agree that You willnot export orreexport the SOFTWAREPRODUCTto anycountry,person, orentitysubject to Canadian
export restrictions.
5.CHOICEOF LAW-ThisSoftware License Agreement isgoverned bythe lawsof the Province ofOntario,Canada.
6.ARBITRATION - Alldisputesarising in connection with thisAgreementshallbe determined byfinal and binding arbitration in accordance with the Arbitration
Act, and the partiesagree to be bound bythe arbitrator’sdecision.The place of arbitration shallbe Toronto, Canada, and the installation manualof the arbit-
ration shallbe English.
7.LIMITED WARRANTY
NO WARRANTY-DSC PROVIDESTHESOFTWARE“ASIS”WITHOUTWARRANTY. DSC DOESNOTWARRANT THATTHESOFTWAREWILL MEET YOUR
REQUIREMENTSOR THATOPERATION OFTHESOFTWAREWILL BEUNINTERRUPTED OR ERROR-FREE.
CHANGES IN OPERATING ENVIRONMENT - DSC shall not be responsible for problems caused by changes in the operating characteristics of the
HARDWARE, orforproblemsin the interaction of the SOFTWAREPRODUCT with non-DSC SOFTWAREor HARDWAREPRODUCTS.
LIMITATION OFLIABILITY; WARRANTY REFLECTSALLOCATION OF RISK -IN ANY EVENT,IF ANYSTATUTE IMPLIESWARRANTIESOR CONDITIONS
NOT STATED IN THIS LICENSEAGREEMENT, DSC’SENTIRE LIABILITYUNDER ANYPROVISION OF THIS LICENSEAGREEMENT SHALL BE LIMITED
TOTHEGREATER OF THE AMOUNT ACTUALLYPAID BYYOU TO LICENSE THESOFTWAREPRODUCT AND FIVE CANADIAN DOLLARS (CAD$5.00).
BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL
DAMAGES, THEABOVELIMITATION MAYNOT APPLYTO YOU.
DISCLAIMER OF WARRANTIES - THIS WARRANTY CONTAINS THE ENTIRE WARRANTY AND SHALL BE IN LIEU OF ANY AND ALL OTHER
WARRANTIES, WHETHER EXPRESSED OR IMPLIED (INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A
PARTICULAR PURPOSE) AND OF ALL OTHER OBLIGATIONS OR LIABILITIES ON THE PART OF DSC. DSC MAKES NO OTHER WARRANTIES. DSC
NEITHER ASSUMESNOR AUTHORIZESANYOTHER PERSON PURPORTINGTO ACTON ITSBEHALF TO MODIFYOR TO CHANGETHIS WARRANTY,
NOR TO ASSUMEFORIT ANYOTHER WARRANTYOR LIABILITYCONCERNINGTHISSOFTWAREPRODUCT.
EXCLUSIVE REMEDY AND LIMITATION OF WARRANTY - UNDER NO CIRCUMSTANCES SHALL DSC BE LIABLE FOR ANY SPECIAL, INCIDENTAL,
CONSEQUENTIAL ORINDIRECT DAMAGESBASED UPON BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICTLIABILITY, OR
ANYOTHER LEGAL THEORY. SUCH DAMAGESINCLUDE, BUT ARE NOT LIMITED TO, LOSSOF PROFITS, LOSSOF THESOFTWARE PRODUCT OR
ANYASSOCIATED EQUIPMENT, COSTOF CAPITAL, COSTOF SUBSTITUTEOR REPLACEMENT EQUIPMENT, FACILITIESORSERVICES, DOWN TIME,
PURCHASERSTIME, THECLAIMSOFTHIRD PARTIES,INCLUDINGCUSTOMERS,AND INJURYTOPROPERTY.
WARNING:DSC recommendsthat the entire systembe completelytested on a regular basis. However, despite frequent testing,and due to, but not limited
to, criminaltampering orelectricaldisruption, it ispossible for thisSOFTWAREPRODUCT to failto performasexpected.
