TherightsgrantedhereunderarecontingentuponpaymentfortheProduct.Allpaymentsareduenext30daysfrom
thedateoftheinvoice.
8.Transfer
InthecaseofSoftwaredesignedtooperateonMotorolaequipment,youmaynottransfertheSoftwaretoanother
partyexcept:(i)ifyouareanend-user,whenyouaretransferringtheSoftwaretogetherwiththeMotorola
equipmentonwhichitoperates;or(ii)ifyouareaMotorolalicenseddistributor,whenyouaretransferringthe
SoftwareeithertogetherwithsuchMotorolaequipmentoraretransferringtheSoftwareasalicenseddulypaid
forupgrade,update,patch,newrelease,enhancementorreplacementofapriorversionoftheSoftware.Ifyou
areaMotorolalicenseddistributor,whenyouaretransferringtheSoftwarepermittedinthisAgreement,you
agreetotransfertheSoftwarewithalicenseagreementhavingtermsandconditionsnolessrestrictivethanthose
containedinthisAgreement.AllsuchtransfersofSoftwarearestrictlysubjecttotheconditionsprecedentthatthe
otherpartyagreestoacceptthetermsandconditionsofthisLicense,andyoudestroyandcopyoftheSoftware
youdonottransfertothatparty.Youmaynotsublicenseorotherwisetransfer,rentorleasetheSoftwarewithout
Motorola'swrittenconsent.YoumaynottransfertheSoftwareinviolationofanylaws,regulations,exportcontrols
oreconomicsanctionsimposedbytheU.S.Government.
9.UpgradesandUpdates
IftheProductsarelicensedtoyouasanupgradeorupdatetoaproductpreviouslylicensedtoyou,youmustdestroy
theProductspreviouslylicensedtoyou,includinganycopies,within30daysofyourreceiptoftheupdateorupgrade.
10.MaintenanceandSupport
MotorolaisnotresponsibleformaintenanceorsupportoftheSoftwareunderthisAgreement.Byaccepting
thelicensegrantedunderthisAgreement,youagreethatMotorolawillbeundernoobligationtoprovideany
support,maintenanceorserviceinconnectionwiththeSoftware.AnymaintenanceandsupportoftheSoftwareand
equipmentonwhichitresideswillbeprovidedunderthetermsofaseparateagreement.
11.LimitedWarranty
AlldiskettesorCD-ROMSonwhichtheProductsarefurnished(“Media”)arewarrantedtobefreefrom
manufacturingandmaterialdefectsfor90daysaftertheshipmentdateoftheProductstoyou.Mediathatbecomes
defectiveduringsuchperiodwillberepairedor,atMotorola'soption,replaced.Thislimitedwarrantyiscontingent
uponproperuseoftheMediaanddoesnotcoverProductswhichhavebeentamperedwith,modied,orsubjectedto
unusualphysicalorelectricalstress.TamperingwithorremovalofanyfactorysealorlabelonanyMediavoidsthis
warrantyandreleasesMotorolafromanyandallliability.
