YourrighttousetheProductswillterminateimmediatelywithoutnoticeuponabreachofthisAgreementbyyou.
Within30daysafterterminationofthisAgreement,youwillcertifytoMotorolainwritingthatthroughyourbest
efforts,andtothebestofyourknowledge,theoriginalandallcopies,inwholeorinpart,inanyform,ofthe
SoftwareandallrelatedmaterialandDocumentation,havebeendestroyed,exceptthat,withpriorwrittenconsent
fromMotorola,youmayretainonecopyforarchivalorbackuppurposes.Youmaynotsublicense,assignortransfer
thelicenseortheProduct,exceptasexpresslyprovidedinthisAgreement.Anyattempttootherwisesublicense,
assignortransferanyoftherights,dutiesorobligationshereunderisnullandvoid.
17.GoverningLaw
ThisAgreementisgovernedbythelawsoftheUnitedStatesofAmericatotheextentthattheyapplyandotherwise
bythelawsoftheStateofIllinois.
18.Assignment
ThisAgreementmaynotbeassignedbyyouwithoutMotorola'spriorwrittenconsent.
19.SurvivalofProvisions
Thepartiesagreethatwherethecontextofanyprovisionindicatesanintentthatitsurvivesthetermofthis
Agreement,thenitwillsurvive.
20.EntireAgreement
ThisAgreementcontainstheparties'entireagreementregardingyouruseoftheProductsandmaybeamended
onlyinwritingsignedbybothparties,exceptthatMotorolamaymodifythisAgreementasnecessarytocomply
withapplicablelaws.
21.Third-PartySoftware
TheSoftwaremaycontainoneormoreitemsofThird-PartySoftwaresuppliedbyotherthird-partysuppliers.The
termsofthisAgreementgovernyouruseofanyThird-PartySoftwareUNLESSASEPARATETHIRD-PARTY
SOFTWARELICENSEISINCLUDED,INWHICHCASEYOURUSEOFTHETHIRD-PARTYSOFTW ARE
WILLTHENBEGOVERNEDBYTHESEPARATETHIRD-PARTYLICENSE.
22.OpenSourceSoftware
TheSoftwaremaycontainoneormoreitemsofOpenSourceorotherPubliclyAvailableSoftware.Forinformation
regardinglicenses,acknowledgements,requiredcopyrightnotices,andotherusageterms,seeOpenSourceSoftware
LegalNotices,pagexxiii.
