14.0 EULA
IMPORTANT - READ CAREFULLY: DSC Software purchased with or without Products and Components is copy-
righted and is purchased under the following license terms:
ThisEnd-User LicenseAgreement(“EULA”)isalegalagreement betweenYou(thecompany,individualor entitywhoacquiredtheSoftwareand anyrelatedHardware) andDigital SecurityControls,a divisionof Tyco
SafetyProductsCanadaLtd.(“DSC”),the manufacturerof theintegratedsecurity systemsandthedeveloper ofthe softwareand anyrelatedproductsorcomponents(“HARDWARE”)whichYouacquired.
IftheDSCsoftware product(“SOFTWARE PRODUCT” or“SOFTWARE”)isintended tobe accompaniedbyHARDWARE,andisNOT accompaniedby newHARDWARE, Youmay notuse,copy orinstall the
SOFTWAREPRODUCT.TheSOFTWAREPRODUCTincludescomputer software,andmay includeassociated media,printedmaterials,and “online”or electronicdocumentation.Anysoftwareprovidedalong withthe
SOFTWAREPRODUCTthat isassociated witha separateend-user licenseagreementislicensedto Youunder thetermsofthatlicense agreement. Byinstalling,copying,downloading,storing,accessing orotherwise using
theSOFTWARE PRODUCT,Youagreeunconditionally tobebound bythe termsof thisEULA,even ifthisEULAisdeemedtobe amodification ofanypreviousarrangementor contract. IfYoudonot agreeto the
termsofthisEULA,DSC isunwilling tolicense theSOFTWARE PRODUCT toYou, andYouhavenoright touse it.
SOFTWARE PRODUCT LICENSE
TheSOFTWARE PRODUCT isprotected bycopyrightlawsand international copyrighttreaties,aswell asotherintellectual propertylaws andtreaties.The SOFTWARE PRODUCT islicensed,not sold.
1. GRANT OFLICENSEThisEULAgrantsYouthefollowingrights:
(a)SoftwareInstallation andUse -Foreachlicense Youacquire,Youmayhaveonly onecopy ofthe SOFTWAREPRODUCTinstalled.
(b)Storage/NetworkUse- TheSOFTWARE PRODUCT maynot beinstalled,accessed,displayed,run,shared orused concurrentlyonorfromdifferent computers,includinga workstation,terminalor otherdigital elec-
tronic device(“Device”).In otherwords,if Youhave severalworkstations, Youwill havetoacquire alicense foreach workstationwhere theSOFTWAREwillbe used.
(c)BackupCopy -Youmaymake back-upcopiesof theSOFTWAREPRODUCT, butYoumayonly haveonecopy perlicense installedatanygiventime.Youmayuse theback-upcopysolelyfor archivalpurposes.
Except asexpresslyprovidedin thisEULA, Youmaynototherwisemake copiesof theSOFTWARE PRODUCT,including theprinted materialsaccompanyingthe SOFTWARE.
2. DESCRIPTIONOFOTHERRIGHTSANDLIMITATIONS
(a)Limitationson ReverseEngineering,Decompilationand Disassembly -Youmaynotreverse engineer,decompile,ordisassembletheSOFTWAREPRODUCT, exceptand onlytothe extentthat suchactivityis
expresslypermittedby applicablelawnotwithstandingthislimitation.Youmaynot makeanychangesormodificationstotheSoftware, withoutthe writtenpermission ofan officerofDSC.Youmaynotremove anypro-
prietary notices,marksorlabelsfrom theSoftware Product.Youshall institutereasonable measurestoensurecompliancewith thetermsandconditionsofthisEULA.
(b)Separationof Components- TheSOFTWAREPRODUCTislicensed asa singleproduct.Itscomponentpartsmay notbe separatedforuseonmore thanone HARDWARE unit.
(c)SingleINTEGRATEDPRODUCT-IfYouacquired thisSOFTWAREwithHARDWARE,thenthe SOFTWARE PRODUCT islicensed withtheHARDWAREasasingle integratedproduct.In thiscase,theSOFTWARE
PRODUCTmayonlybe usedwith theHARDWAREassetforthinthisEULA.
(d)Rental- Youmay notrent,leaseorlendthe SOFTWARE PRODUCT.Youmaynot makeitavailable toothersorpostit ona serveror website.
(e)SoftwareProduct Transfer- Youmay transferall ofYourrightsunderthisEULAonly aspart ofapermanent saleor transferof theHARDWARE,providedYouretainno copies,Youtransfer allof theSOFTWARE
PRODUCT(including allcomponent parts,themedia andprinted materials, anyupgradesandthisEULA),andprovided therecipientagreestothe termsof thisEULA.If theSOFTWAREPRODUCTisanupgrade,any
transfermust alsoincludeall priorversionsofthe SOFTWAREPRODUCT.
(f)Termination- Withoutprejudiceto anyother rights,DSC mayterminatethisEULAif Youfail tocomply withthetermsandconditionsofthisEULA.Insuch event,Youmust destroyall copiesof theSOFTWARE
PRODUCTandallof itscomponent parts.
(g)Trademarks- ThisEULAdoesnot grantYouanyrightsin connectionwith anytrademarksorservicemarksofDSCoritssuppliers.
3. COPYRIGHT -All titleand intellectual propertyrightsinand totheSOFTWAREPRODUCT(includingbutnotlimited toanyimages, photographs,and textincorporatedinto theSOFTWAREPRODUCT), theaccom-
panyingprintedmaterials,and anycopiesofthe SOFTWAREPRODUCT,are ownedbyDSCor itssuppliers.Youmaynot copythe printedmaterialsaccompanying theSOFTWARE PRODUCT. Alltitleandintellectual
propertyrightsin andto thecontentwhich maybe accessedthrough useof theSOFTWAREPRODUCTare thepropertyof therespective contentownerandmaybe protectedby applicablecopyrightor otherintellectual
propertylaws andtreaties.ThisEULAgrantsYouno rightstouse suchcontent.All rightsnot expresslygranted underthisEULAare reservedbyDSCand itssuppliers.
4. EXPORT RESTRICTIONS- Youagree thatYouwillnotexport orre-export theSOFTWAREPRODUCTtoany country,person,or entitysubject toCanadianexport restrictions.
5. CHOICE OFLAW -ThisSoftwareLicense Agreementisgoverned bythe lawsoftheProvince ofOntario,Canada.
6. ARBITRATION -All disputesarisingin connectionwith thisAgreementshallbedetermined byfinal andbindingarbitration inaccordance withtheArbitration Act,andthe partiesagree tobeboundbythe arbitrator’s
decision.The placeof arbitrationshallbeToronto,Canada,andthe languageof thearbitrationshallbeEnglish.
7. LimitedWarranty
(a)NOWARRANTY-DSCPROVIDESTHESOFTWARE“ASIS”WITHOUTWARRANTY.DSC DOESNOTWARRANT THAT THESOFTWARE WILLMEET YOURREQUIREMENTSORTHAT OPERATION OF
THESOFTWARE WILLBE UNINTERRUPTEDORERROR-FREE.
(b)CHANGESINOPERATINGENVIRONMENT- DSCshallnotberesponsible forproblemscausedby changesinthe operatingcharacteristicsoftheHARDWARE,orfor problemsin theinteractionof theSOFTWARE
PRODUCTwithnon-DSC-SOFTWAREorHARDWAREPRODUCTS.
(c)LIMITATION OF LIABILITY;WARRANTYREFLECTSALLOCATIONOFRISK -INANYEVENT, IFANYSTATUTE IMPLIESWARRANTIESORCONDITIONSNOTSTATEDINTHISLICENSEAGREEMENT,
DSC’SENTIRE LIABILITYUNDERANYPROVISIONOF THIS LICENSEAGREEMENTSHALL BELIMITEDTOTHE GREATEROFTHEAMOUNTACTUALLYPAIDBYYOUTOLICENSETHE SOFTWARE
PRODUCTANDFIVECANADIANDOLLARS(CAD$5.00).BECAUSESOME JURISDICTIONSDONOT ALLOWTHE EXCLUSIONORLIMITATIONOF LIABILITYFORCONSEQUENTIALORINCIDENTAL
DAMAGES,THE ABOVE LIMITATION MAYNOTAPPLYTOYOU.
(d)DISCLAIMEROF WARRANTIES-THIS WARRANTYCONTAINSTHEENTIRE WARRANTYANDSHALLBE INLIEUOFANYANDALLOTHER WARRANTIES,WHETHER EXPRESSEDORIMPLIED
(INCLUDING ALLIMPLIEDWARRANTIESOFMERCHANTABILITYORFITNESS FOR APARTICULARPURPOSE)ANDOF ALLOTHER OBLIGATIONSORLIABILITIESON THEPART OF DSC.DSC MAKESNO

(e)EXCLUSIVE REMEDY ANDLIMITATIONOF WARRANTY-UNDERNO CIRCUMSTANCESSHALL DSCBELIABLEFORANYSPECIAL,INCIDENTAL, CONSEQUENTIALORINDIRECTDAMAGESBASED
UPON BREACHOFWARRANTY, BREACHOFCONTRACT, NEGLIGENCE,STRICT LIABILITY,ORANYOTHER LEGALTHEORY. SUCHDAMAGESINCLUDE,BUT ARENOT LIMITEDTO, LOSSOFPROFITS,
LOSSOFTHE SOFTWAREPRODUCTORANYASSOCIATEDEQUIPMENT,COSTOF CAPITAL,COST OF SUBSTITUTEORREPLACEMENTEQUIPMENT,FACILITIESORSERVICES, DOWNTIME,PURCHASERS
TIME,THECLAIMSOF THIRD PARTIES,INCLUDINGCUSTOMERS,ANDINJURY TOPROPERTY.
WARNING:DSCrecommendsthattheentire system becompletelytested ona regularbasis.However, despitefrequent testing, anddue to,butnot limitedto,criminaltampering orelectrical disruption, itispossiblefor
thisSOFTWARE PRODUCT tofail toperformasexpected.
