1.0 DEFINITIONS

1.1 Documentation

User guides and manuals for installation and use of the UPS.

1.2 Firmware

1.3 Update

Subsequent release of Firmware, if developed by Eaton.

2.0 FIRMWARE LICENSE

2.1 Ownership

Eaton or its licensors retain all title, copyright, and proprietary rights in the Firmware.

2.2 License Grant

Limited, revocable, non-exclusive license to use Firmware with the product.

2.3 Restrictions and Requirements

Prohibits modification, reverse engineering, decompiling, or disassembling the Firmware.

2.4 Transfer and Assignment Restrictions

Prohibits selling, reselling, assigning, leasing, or sublicensing the Firmware.

3.0 TERMINATION

3.1 Termination

Agreement terminates if Licensee breaches provision; Eaton may terminate with or without cause.

3.2 Effect of Termination

Upon termination, Licensee must cease using the product; certain sections survive.

4.0 INFRINGEMENT AND WARRANTIES

4.1 Infringement

Licensee must notify Eaton of any third-party IP infringement claims against the UPS.

4.2 Disclaimer of Warranties

Firmware provided 'AS IS' without warranty; use is at Licensee's sole risk.

5.0 GENERAL PROVISIONS

5.1 Update Policy

Eaton may but is not obligated to create Updates of the Firmware.

5.2 Limitation on Liability

Limits Eaton's liability for damages, including consequential and incidental losses.

5.3 Notices

Specifies how required notices must be sent to Eaton.

5.4 Severability

If a provision is invalid, remaining provisions remain in force.

5.5 Waiver

Waiver of one breach does not waive other or subsequent breaches.

5.6 Entire Agreement

This Agreement is the complete agreement and supersedes prior ones.

5.7 Heirs, Successors, and Assigns

Covenants bind and inure to the benefit of parties and their successors.

5.8 Export Restrictions

Licensee must comply with US export laws and regulations for the Firmware.

5.9 U.S. Government Restricted Rights

Firmware is a commercial item with restricted rights for U.S. Government.

5.10 Third Party Intellectual Property Rights

Firmware may contain third-party components subject to their own license agreements.

5.11 Indemnity

Licensee shall defend and indemnify Eaton against claims arising from use.

5.12 Open Source Software

Firmware may contain components subject to third-party open source licenses.

5.13 Confidentiality

Licensee must not disclose confidential aspects of the Firmware.

5.14 Note on JAVA Support

JAVA technology is not fault tolerant and not intended for hazardous environments.

5.15 Governing Law

Agreement interpreted and enforced according to Irish law.
