ThisWarrantyandLimitationofLiability(the“Warranty”)setsforththewarrantyprovidedbyDaktronicswithrespecttotheEquipment.Byacceptingdeliveryofthe
Equipment,PurchaserandEndUseragreetobeboundbyandacceptthesetermsandconditions.Unlessotherwisedefinedherein,alltermswithintheWarranty
shallhavethesamemeaninganddefinitionasprovidedelsewhereintheAgreement.
DAKTRONICSWILLONLYBEOBLIGATEDTOHONORTHEWARRANTYSETFORTHINTHESETERMSANDCONDITIONSUPONRECEIPTOFFULLPAYMENTFORTHE
EQUIPMENT.
1. WarrantyCoverage
A.Daktronicswarrantstotheoriginalenduser(the“EndUser”)thattheEquipmentwillbefreefromDefects(asdefinedbelow)inmaterialsand
workmanshipforaperiodofone(1)year(the“WarrantyPeriod”).TheWarrantyPeriodshallcommenceontheearlierof:(i)fourweeksfromthedate
thattheEquipmentleavesDaktronics’facility;or(ii)SubstantialCompletionasdefinedherein.TheWarrantyPeriodshallexpireonthefirstanniversary
ofthecommencementdate.
“SubstantialCompletion”meanstheoperationalavailabilityoftheEquipmenttotheEndUserinaccordancewiththeEquipment’sspecifications,without
regardtopunch‐listitems,orothernon‐substantialitemswhichdonotaffecttheoperationoftheEquipment.
B.Daktronics’obligationunderthisWarrantyislimitedto,atDaktronics’option,replacingorrepairing,anyEquipmentorpartthereofthatisfoundby
DaktronicsnottoconformtotheEquipment’sspecifications.UnlessotherwisedirectedbyDaktronics,anydefectivepartorcomponentshallbe
returnedtoDaktronicsforrepairorreplacement.ThisWarrantydoesnotincludeon‐sitelaborchargestoremoveorinstallthesecomponents.
Daktronicsmay,atitsoption,provideon‐sitewarrantyservice.Daktronicsshallhaveareasonableperiodoftimetomakesuchreplacementsorrepairs
andalllaborassociatedtherewithshallbeperformedduringregularworkinghours.RegularworkinghoursareMondaythroughFridaybetween8:00
a.m.and5:00p.m.atthelocationwherelaborisperformed,excludinganyholidaysobservedbyDaktronics.
C.DaktronicsshallpaygroundtransportationchargesforthereturnofanydefectivecomponentoftheEquipment.Allsuchitemsshallbeshippedby
EndUserDDPDaktronicsdesignatedfacility.IfreturnedEquipmentisrepairedorreplacedunderthetermsofthisWarranty,Daktronicswillprepay
groundtransportationchargesbacktoEndUSerandshallshipsuchitemsDDPEndUser’sdesignatedfacility;otherwise,EndUsershallpay
transportationchargestoreturntheEquipmentbacktotheEndUserandsuchEquipmentshallbeshippedExWorksDaktronicsdesignatedfacility.All
returnsmustbepre‐approvedbyDaktronicsbeforeshipment.Daktronicsshallnotbeobligatedtopayfreightforanyunapprovedreturn.EndUsershall
payanyupgradedorexpeditedtransportationcharges.
D.AnyreplacementpartsorEquipmentwillbeneworserviceablyused,comparableinfunctionandperformancetotheoriginalpartorEquipment,and
warrantedfortheremainderoftheWarrantyPeriod.PurchasingadditionalpartsorEquipmentfromtheSellerdoesnotextendtheWarrantyPeriod.
E.Defectsshallbedefinedasfollows.WithregardtotheEquipment(exceptingLEDs),a“Defect”shallrefertoamaterialvariancefromthedesign
specificationsthatprohibittheEquipmentfromoperatingforitsintendeduse.WithrespecttoLEDs,“Defects”aredefinedasLEDpixelsthatceaseto
emitlight.Unlessotherwiseexpresslyprovided,thisWarrantydoesnotimposeanydutyorliabilityuponDaktronicsforpartialLEDpixeldegradation.
Notwithstandingtheforegoing,innoeventdoesthisWarrantyincludeLEDpixeldegradationcausedbyUVlight.ThisWarrantydoesnotprovideforthe
replacementorinstallationofcommunicationmethodsincludingbutnotlimitedto,wire,fiberopticcable,conduit,trenching,orforthepurposeof
overcominglocalsiteinterferenceradioequipmentsubstitutions.
EXCEPTASOTHERWISEEXPRESSLYSETFORTHINTHISWARRANTY,TOTHEMAXIMUMEXTENTPERMITTEDBYAPPLICABLELAW,DAKTRONICSDISCLAIMS
ANYANDALLOTHERPROMISES,REPRESENTATIONSANDWARRANTIESAPPLICABLETOTHEEQUIPMENTANDREPLACESALLOTHERWARRANTIESOR
CONDITIONS,EXPRESSORIMPLIED,INCLUDING,BUTNOTLIMITEDTO,ANYIMPLIEDWARRANTIESORCONDITIONSOFMERCHANTABILITY,FITNESSFOR
APARTICULARPURPOSE,ORACCURACYORQUALITYOFDATA.OTHERORALORWRITTENINFORMATIONORADVICEGIVENBYDAKTRONICS,ITS
AGENTSOREMPLOYEES,SHALLNOTCREATEAWARRANTYORINANYWAYINCREASETHESCOPEOFTHISLIMITEDWARRANTY.
THISLIMITEDWARRANTYISNOTTRANSFERABLE.
2. ExclusionfromWarrantyCoverage
ThisWarrantydoesnotimposeanydutyorliabilityuponDaktronicsforany:
A.damageoccurringatanytime,duringshipmentofEquipmentunlessotherwiseprovidedforintheAgreement.WhenreturningEquipmentto
Daktronicsforrepairorreplacement,EndUserassumesallriskoflossordamage,agreestouseanyshippingcontainersthatmightbeprovidedby
Daktronics,andtoshiptheEquipmentinthemannerprescribedbyDaktronics;
B.damagecausedby:(i)theimproperhandling,installation,adjustment,use,repair,orserviceoftheEquipment,or(ii)anyphysicaldamagewhich
includes,butisnotlimitedto,missing,broken,orcrackedcomponentsresultingfromnon‐electricalcauses;altered,scratched,orfracturedelectronic
traces;missingorgaugedsolderpads;cuts orclippedwires;crushed,cracked,punctured,orbentcircuitboards;ortamperingwithanyelectronic
connections,providedthatsuchdamageisnotcausedbypersonnelofDaktronicsoritsauthorizedrepairagents;
C.damagecausedbythefailuretoprovideacontinuouslysuitableenvironmen t,including,butnotlimit e dto:(i)neglectormisuse;(ii)improperpower
including,withoutlimitation,afailureorsuddensu r geofelectricalpower;(iii)improperairconditioning,humiditycontrol,orotherenvironmental
conditionsoutsideoftheEquipment’stechnicalspecificationssuchasextremetemperatures,corrosivesandmetallicpollutants;or(iv)anyothercause
otherthanordinaryuse;
