Limited Warranty

Digital SecurityControls (DSC)warrants that fora periodof 12monthsfrom thedate of purchase, the

product shall befreeof defects inmaterialsand workmanshipundernormal useandthatinfulfillment of

any breach of such warranty, DSC shall, at itsoption, repair orreplace thedefective equipmentupon

returnoftheequipmenttoitsrepairdepot.This warranty appliesonlytodefectsin partsandworkmanship

andnottodamageincurredin shippingorhandling,ordamageduetocausesbeyondthecontrol ofDigital

SecurityControls such as lightning, excessivevoltage,mechanical shock, water damage,ordamage

arisingout ofabuse, alterationor improperapplication ofthe equipment. Theforegoing warranty shall

applyonly to the original buyer, and is andshall be in lieu of any and all otherwarranties, whether

expressedor impliedand of all other obligations or liabilities onthe partof Digital SecurityControls.

Digital SecurityControls neitherassumes responsibilityfor, norauthorizesanyotherpersonpurportingto

actonitsbehalf tomodifyor tochangethiswarranty, nortoassume forit anyother warrantyorliability

concerningthis product.Innoeventshall Digital Security Controls beliableforanydirect, indirect or con-

sequential damages, loss of anticipated profits, loss of time oranyotherlosses incurred bythebuyerin

connectionwiththepurchase, installation oroperationorfailureof this product.Warning:Digital Security

Controlsrecommendsthat theentiresystem becompletely testedonaregularbasis.However, despite

frequent testing, anddueto,butnotlimitedto,criminal tamperingorelectrical disruption, it is possiblefor

thisproducttofail toperform as expected.Important Information: Changes/modifications not expressly

approvedby DSC could voidthe user’s authority tooperate this equipment.IMPORTANT -READ

CAREFULLY:DSC Softwarepurchasedwithorwithout Products andComponents is copyrightedand

is purchasedunderthe followinglicenseterms: This End-UserLicenseAgreement (“EULA”)is alegal

agreementbetweenYou (thecompany, individual orentity whoacquired theSoftwareand any related

Hardware)andDigital SecurityControls, adivisionof TycoSafety Products CanadaLtd. (“DSC”), the

manufacturerof the integrated security systems and the developer of the software and any related

productsorcomponents(“HARDWARE”)whichYouacquired.

IftheDSC softwareproduct(“SOFTWARE PRODUCT” or“SOFTWARE”)is intendedtobe accom-

paniedbyHARDWARE,andis NOT accompaniedby newHARDWARE, Youmay not use, copy or

install the SOFTWARE PRODUCT. TheSOFTWARE PRODUCT includes computersoftware,

andmayincludeassociatedmedia, printedmaterials, and“online”orelectronic documentation.

Any software provided along with theSoftware Product that is associatedwith a separate end-user

licenseagreementis licensedtoYouundertheterms of that licenseagreement.

By installing, copying, downloading, storing, accessing orotherwise using theSoftware Product, You

agreeunconditionally tobeboundby theterms ofthis EULA, evenif this EULA is deemedtobea modi-

ficationofanypreviousarrangement orcontract. IfYoudo not agreetotheterms ofthis EULA, DSC is

unwillingtolicensetheSoftwareProduct toYou,andYouhavenorighttouseit.

SOFTWARE PRODUCT LICENSE

TheSOFTWARE PRODUCT is protected bycopyright laws and international copyright treaties,as

well asotherintellectual propertylaws andtreaties. TheSOFTWARE PRODUCT islicensed, not

sold.

1. GRANT OF LICENSE ThisEULA grants Youthefollowingrights:

(a)SoftwareInstallation andUse- Foreach licenseYouacquire, Youmay have onlyone copyofthe

SOFTWARE PRODUCT installed.

(b)Storage/NetworkUse-The SOFTWARE PRODUCT maynot beinstalled,accessed,displayed,

run, sharedorusedconcurrentlyonorfrom differentcomputers,includingaworkstation,terminal orother

digital electronic device(“Device”). Inother words,if Youhave several workstations, Youwill haveto

acquirea licenseforeachworkstationwheretheSOFTWARE will beused.

(c)BackupCopy- Youmaymakeback-upcopiesoftheSOFTWARE PRODUCT, but Youmayonly

haveonecopyperlicenseinstalledatanygiventime. Youmay usetheback-upcopy solely forarchival

purposes.Except as expresslyprovided in this EULA, You may nototherwise make copies of the

SOFTWARE PRODUCT, includingtheprintedmaterialsaccompanyingtheSOFTWARE.

2. DESCRIPTION OF OTHER RIGHTS ANDLIMITATIONS

(a)Limitations onReverseEngineering, Decompilationand Disassembly -Youmay notreverse engin-

eer, decompile,ordisassembletheSOFTWARE PRODUCT, except andonly totheextentthat such

activityis expresslypermittedbyapplicablelaw notwithstandingthis limitation. Youmaynotmakeany

changes ormodificationstotheSoftware, withoutthewritten permissionof anofficerofDSC. Youmay

not removeanyproprietarynotices, marks orlabels from the SoftwareProduct. Youshall institute reas-

onablemeasurestoensurecompliancewiththeterms andconditions of this EULA.

(b)Separationof Components - TheSoftware Productis licensedasa singleproduct. Its component

partsmaynotbeseparatedforuseonmorethanoneHARDWARE unit.

(c)SingleINTEGRATED PRODUCT - If Youacquiredthis SOFTWARE withHARDWARE,then

theSOFTWARE PRODUCT is licensedwiththeHARDWARE asa singleintegratedproduct. Inthis

case,theSOFTWARE PRODUCT mayonlybeusedwiththeHARDWARE as set forthin this

EULA.

(d)Rental - Youmaynotrent, leaseorlendtheSOFTWARE PRODUCT. Youmay notmakeit avail-

abletoothersorpostit ona serverorwebsite.

(e)SoftwareProduct Transfer-Youmaytransferall of YourrightsunderthisEULA only aspartofa per-

manentsale or transferof the HARDWARE, providedYou retain no copies, You transfer all of the

SOFTWARE PRODUCT (including all component parts, the media and printed materials, any

upgrades and this EULA), and provided the recipient agrees to the terms of this EULA. If the

SOFTWARE PRODUCT is an upgrade, any transfer must also include all prior versions of the

SOFTWARE PRODUCT.

(f)Termination-Withoutprejudicetoany otherrights, DSC may terminatethis EULA if Youfail tocom-

ply with the terms and conditions of this EULA. In suchevent, You mustdestroy all copies of the

SOFTWARE PRODUCT andall ofitscomponentparts.

(g)Trademarks -ThisEULA doesnotgrantYouany rights inconnectionwithany trademarks orservice

marksofDSC oritssuppliers.

3. COPYRIGHT - All titleand intellectual property rights in and to theSOFTWARE PRODUCT

(includingbut not limited to anyimages, photographs, and text incorporatedinto the SOFTWARE

PRODUCT), theaccompanying printedmaterials,and anycopiesof theSOFTWARE PRODUCT,

are owned by DSC or its suppliers. You may not copy the printed materials accompanying the

SOFTWARE PRODUCT. All title andintellectual propertyrights in andtothe content whichmaybe

accessedthroughuseoftheSOFTWARE PRODUCT are thepropertyoftherespectivecontent owner

andmaybeprotectedbyapplicablecopyrightor otherintellectual property laws andtreaties.ThisEULA

grants Younorights tousesuchcontent.All rightsnotexpresslygrantedunderthis EULA arereservedby

DSC andits suppliers.

4. EXPORT RESTRICTIONS - You agreethat Youwill not exportor re-export theSOFTWARE

PRODUCT toany country,person, orentity subjecttoCanadianexportrestrictions.

5. CHOICE OF LAW- This SoftwareLicenseAgreement is governedby thelaws of theProvinceof

Ontario, Canada.

6. ARBITRATION -All disputesarisingin connectionwiththis Agreementshall bedeterminedbyfinal

andbindingarbitrationin accordancewiththeArbitrationAct, andtheparties agreetobeboundbythearbit-

rator’s decision.Theplaceof arbitrationshall beToronto,Canada,andthelanguageof thearbitrationshall

beEnglish.

7. LIMITED WARRANTY

(a)NOWARRANTY - DSC PROVIDES THE SOFTWARE “AS IS”WITHOUT WARRANTY.

DSC DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR

REQUIREMENTS OR THAT OPERATION OF THE SOFTWARE WILL BE

UNINTERRUPTED ORERROR-FREE.

(b)CHANGES IN OPERATING ENVIRONMENT -DSC shall not be responsiblefor problems

causedby changes intheoperatingcharacteristics oftheHARDWARE, orforproblems intheinteraction

of theSOFTWARE PRODUCT withnon-DSC-SOFTWARE orHARDWARE PRODUCTS.

(c)LIMITATIONOF LIABILITY; WARRANTY REFLECTS ALLOCATION OF RISK - IN ANY

EVENT, IF ANY STATUTE IMPLIES WARRANTIES OR CONDITIONS NOT STATED IN

THIS LICENSE AGREEMENT, DSC’S ENTIRE LIABILITY UNDER ANY PROVISION OF

THIS LICENSE AGREEMENT SHALLBE LIMITED TOTHE GREATER OF THE AMOUNT

ACTUALLY PAID BY YOU TO LICENSE THE SOFTWARE PRODUCT AND FIVE

CANADIAN DOLLARS (CAD$5.00). BECAUSE SOME JURISDICTIONS DO NOT ALLOW

THE EXCLUSIONORLIMITATION OF LIABILITY FOR CONSEQUENTIALORINCIDENTAL

DAMAGES, THE ABOVE LIMITATIONMAY NOT APPLY TO YOU.

(d) DISCLAIMER OF WARRANTIES - THIS WARRANTY CONTAINS THE ENTIRE

WARRANTY AND SHALL BE IN LIEU OF ANY AND ALL OTHER WARRANTIES,

WHETHER EXPRESSED OR IMPLIED (INCLUDING ALL IMPLIED WARRANTIES OF

MERCHANTABILITY ORFITNESS FORA PARTICULAR PURPOSE)ANDOF ALLOTHER

OBLIGATIONS OR LIABILITIES ON THE PART OF DSC. DSC MAKES NO OTHER

WARRANTIES. DSC NEITHER ASSUMES NOR AUTHORIZES ANY OTHER PERSON

PURPORTINGTO ACT ON ITS BEHALF TO MODIFY ORTO CHANGE THIS WARRANTY,

NOR TO ASSUME FORIT ANY OTHER WARRANTY OR LIABILITY CONCERNINGTHIS

SOFTWARE PRODUCT.

(e) EXCLUSIVE REMEDY AND LIMITATION OF WARRANTY - UNDER NO

CIRCUMSTANCES SHALL DSC BE LIABLE FOR ANY SPECIAL, INCIDENTAL,

CONSEQUENTIALOR INDIRECT DAMAGES BASED UPON BREACH OF WARRANTY,

BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL

THEORY.SUCH DAMAGES INCLUDE, BUT ARE NOT LIMITED TO, LOSS OF PROFITS,

LOSS OF THE SOFTWARE PRODUCT OR ANY ASSOCIATED EQUIPMENT, COST OF

CAPITAL,COST OF SUBSTITUTE OR REPLACEMENT EQUIPMENT, FACILITIES OR

SERVICES, DOWN TIME, PURCHASERS TIME, THE CLAIMS OF THIRD PARTIES,

INCLUDINGCUSTOMERS, AND INJURY TOPROPERTY.

WARNING: DSC recommends that the entire system be completely tested on a regular basis.

However,despite frequent testing, and dueto, butnot limited to, criminal tamperingor electrical dis-

ruption, it is possibleforthis SOFTWARE PRODUCT tofail toperform asexpected.
