FAAPMAorotherdomesticorforeigngovernmentalapprovaltomanufactureorrepairaHoneywellpart.
3.RightsInMaterials-HoneywellretainsallrightsintheseMaterialsandinanycopiesthereofthatare
notexpresslygrantedtoyou,includingallrightsinpatents,copyrights,trademarks,andtradesecrets.
TheMaterialsarelicensedandnotsoldunderthisLicenseAgreement.NolicensetouseanyHoneywell
trademarksorpatentsisgrantedunderthisLicenseAgreement.
4.Changes-HoneywellreservestherighttochangethetermsandconditionsofthisLicenseAgreement
atanytime,includingtherighttochangeorimposechargesforcontinueduseoftheMaterials.Honeywell
mayadd,deleteorotherwisemodifyanyportionoftheMaterials(“UpdatedMaterials”)atanytime.You
agreetostopusingoutdatedMaterialsuponissuanceofanyUpdatedMaterials.
5.Condentiality-YouacknowledgethattheseMaterialscontaininformationthatiscondentialand
proprietarytoHoneywell.Youagreetotakeallreasonableeffortstomaintainthecondentialityofthese
Materials.
6.AssignmentAndTransfer-ThisLicenseAgreementmaybeassignedtoaservicecenterapproved
andformallydesignatedasaservicecenterbyHoneywell,provided,however,thatyouretainnocopies
oftheMaterialsinwholeorinpart.However,therecipientofanysuchassignmentortransfermust
assumeallofyourobligationsandliabilitiesunderthisLicenseAgreement.Noassignmentortransfershall
relieveanypartyofanyobligationthatsuchpartythenhashereunder.Otherwise,neitherthisLicense
Agreementnoranyrights,licensesorprivilegesgrantedunderthisLicenseAgreement,noranyofits
dutiesorobligationshereunder,noranyinterestorproceedsinandtotheMaterialsshallbeassignableor
transferable(ininsolvencyproceedings,bymerger,byoperationoflaw,bypurchase,bychangeofcontrol
orotherwise)byyouwithoutHoneywell’swrittenconsent.
7.CopiesofMaterials-UnlessyouhavetheexpresswrittenpermissionofHoneywell,youmaynotmake
orpermitmakingofcopies,digitalorprinted,oftheMaterials.YouagreetoreturntheMaterialsandany
suchcopiesthereoftoHoneywellupontherequestofHoneywell.
8.T erm-ThisLicenseAgreementiseffectiveuntilterminatedassetforthherein.ThisLicenseAgreement
willterminateimmediately,withoutnoticefromHoneywell,ifyoufailtocomplywithanyprovisionofthis
LicenseAgreementorwillterminatesimultaneouslywiththeterminationorexpirationofyourapplicable
agreementwithHoneywellrelatingtotherepairormaintenanceofthesubjectHoneywellProduct.Upon
terminationofthisLicenseAgreement,youwillreturntheseMaterialstoHoneywellwithoutretainingany
copies,inwholeorinpart,andwillhaveoneofyourauthorizedofcerscertifythatallMaterialshave
beenreturnedwithnocopiesretained.
9.AuditRights-Honeywell,throughitsauthorizedrepresentatives,withnolessthanthirty(30)calendar
daysnoticefromHoneywell,hastherightduringnormalbusinesshoursduringthetermofthisLicense
Agreementandforthree(3)yearsthereaftertovisityouandhaveaccesstotheinsideandoutsideof
yourfacilityforthepurposeofinspecting,observingandevaluatingyourcomplianceunderthisLicense
Agreement.
10.Remedies-Honeywellreservestherighttopursueallavailableremediesanddamagesresultingfrom
abreachofthisLicenseAgreement.
11.LimitationofLiability-Honeywellmakesnorepresentationsorwarrantiesregardingtheuseor
sufciencyoftheMaterials.THEREARENOOTHERWARRANTIES,WHETHERWRITTENOR
ORAL,EXPRESS,IMPLIEDORSTATUTORY ,INCLUDING,BUTNOTLIMITEDTO(i)WARRANTIES
ARISINGFROMCOURSEOFPERFORMANCE,DEALING,USAGE,ORTRADE,WHICHAREHEREBY
EXPRESSLYDISCLAIMED,OR(ii)WARRANTIESAGAINSTINFRINGEMENTOFINTELLECTUAL
