6.2.2 Authorized users
Licensed Soware may be installed, used, or accessed only by Licensee, who is responsible for
compliance with this User License by its authorized users.
6.2.3 Reservaon of rights
Licensee acknowledges and agrees that the Licensed Soware is not sold to Licensee, but is only
licensed. All rights not expressly granted in this User License are reserved by CELLINK. Licensee
acknowledges and agrees that no ownership interest in the Licensed Soware is acquired by
downloading or using the Licensed Soware and that Licensee has only the limited license granted
in this User License and no other rights, implied or otherwise. The source code of the Licensed
Soware and any other materials idened as condenal or proprietary constute the condenal
and proprietary informaon of CELLINK and shall only be used in conjuncon with Licensee’s
authorized use of the Licensed Soware and may not be disclosed to third pares.
6.2.4 Updates or revisions
CELLINK is not obligated to provide any services, updates or revisions to the Licensed Soware,
however, such updates may be introduced by CELLINK from me to me. The Licensed Soware
may communicate with CELLINK or its third-party provider servers to check for available updates
(e.g., enhanced funconality and new versions). Licensee may receive noce of (e.g., be prompted
to download and install) or the Licensed Soware may automacally download and install available
updates. Licensee agrees to download and install any and all updates when available and acknowledges
that if not updated as recommended the Licensed Soware may not operate as expected. Licensee
acknowledges and agrees that updates, supplements and replacements are part of the Licensed
Soware and are subject to all terms and condions of this User License, unless separate terms are
said to apply.
6.2.5 Trademarks
CELLINK is the owner of various trademarks, including U.S. registered trademarks for CELLINK
and INKREDIBLE and including logos relang to the CELLINK business. Licensee agrees not to
use CELLINK’s trademarks in any way, including but not limited to promong Licensee’s products
produced with a CELLINK 3D Bioprinter or Licensed Soware and shall make no claims that CELLINK
endorses Licensee’s products or services. Licensee recognizes and acknowledges that its breach of
this User License may cause irreparable damage to CELLINK, which cannot be readily remedied by
monetary damages in an acon at law, and may constute an infringement of CELLINK’s intellectual
property rights and rights under unfair compeon laws. In the event of a breach by Licensee of
this User License, including any acon by Licensee which could cause some loss or diluon of the
goodwill, reputaon, or rights in any of CELLINK’s trademarks, CELLINK shall be entled to an
immediate injuncon in addion to any other remedies available, to stop or prevent such irreparable
harm, loss, or diluon.
