IMPORTANT -READ CAREFULLY: DSC Software purchased with orwithout Productsand Componentsiscopyrighted and ispurchased underthe fol-
lowing licenseterms:
ThisEnd-User License Agreement (“EULA”)is a legalagreement between You (the company, individualor entitywho acquired the Software and any
related Hardware) and DigitalSecurityControls, a division of TycoSafetyProductsCanada Ltd.(“DSC”),the manufacturerof the integrated securitysys-
temsand the developerofthe software and anyrelated productsorcomponents(“HARDWARE”)which You acquired.
If the DSCsoftware product(“SOFTWAREPRODUCT” or“SOFTWARE”)is intended to be accompanied byHARDWARE,and isNOT accompanied by
new HARDWARE, You maynot use, copy orinstall the SOFTWARE PRODUCT. The SOFTWARE PRODUCT includescomputer software, and may
include associated media, printed materials, and “online” orelectronicdocumentation.
Anysoftwareprovided along with the SOFTWAREPRODUCT that isassociated with aseparate end-userlicense agreement islicensed to You under
the termsof that license agreement.
Byinstalling, copying, downloading, storing, accessing orotherwise using the SOFTWAREPRODUCT, You agree unconditionally to be bound by the
termsof thisEULA, even if thisEULA isdeemed to be a modification of any previousarrangement orcontract. IfYou do not agree to the terms of this
EULA,DSC isunwilling to license the SOFTWAREPRODUCTto You, and You have no right to use it.
SOFTWARE PRODUCT LICENSE
The SOFTWAREPRODUCT isprotected bycopyright laws and international copyright treaties,as wellas otherintellectualproperty lawsand treaties.
The SOFTWAREPRODUCTislicensed, not sold.
1. GRANT OF LICENSE This EULA grants You the following rights:
Software Installation and Use -Foreach licenseYou acquire, You mayhave onlyone copyofthe SOFTWAREPRODUCTinstalled.
Storage/Network Use -The SOFTWAREPRODUCT maynot be installed, accessed, displayed, run, shared orused concurrentlyon or from different
computers,including a workstation, terminalorotherdigitalelectronicdevice (“Device”). In otherwords, ifYou have severalworkstations,You willhave to
acquire a licenseforeach workstation where the SOFTWAREwillbe used.
Backup Copy - You may make back-up copies of the SOFTWAREPRODUCT, but You mayonlyhave one copyper license installed at anygiven time.
You may use the back- up copy solely for archival purposes. Except as expressly provided in this EULA, You may not otherwise make copies of the
SOFTWAREPRODUCT, including the printed materialsaccompanying the SOFTWARE.
2.DESCRIPTION OFOTHER RIGHTSAND LIMITATIONS
Limitations on Reverse Engineering, Decompilation and Disassembly - You may not reverse engineer, decompile, or disassemble the
SOFTWAREPRODUCT, except and onlyto the extentthat such activity isexpresslypermitted byapplicable law notwithstanding thislimitation. You may
not make anychangesormodificationsto the Software, without the written permission of an officerof DSC. You maynotremove anyproprietarynotices,
marksorlabelsfromthe Software Product.You shallinstitute reasonablemeasuresto ensure compliance with the termsand conditionsof thisEULA.
Separation of Components -The SOFTWARE PRODUCTislicensed asa single product. Itscomponent partsmaynot be separated foruse on more
than one HARDWAREunit.
Single INTEGRATED PRODUCT - If You acquired this SOFTWARE with HARDWARE, then the SOFTWARE PRODUCT is licensed with the
HARDWAREasa singleintegrated product. In thiscase, the SOFTWAREPRODUCT mayonlybe used with the HARDWAREasset forth inthisEULA.
Rental -You maynot rent, lease orlend the SOFTWAREPRODUCT. You maynot make it available to othersorpostit on a serverorweb site.
Software Product Transfer - You may transfer all of Your rights under thisEULA only as part of a permanent sale or transfer of the HARDWARE,
provided You retain no copies, You transfer all of the SOFTWAREPRODUCT (including all component parts, the media and printed materials, any
upgradesand thisEULA), and provided the recipient agreesto the termsof this EULA.If the SOFTWARE PRODUCT isan upgrade, anytransfer must
also include allpriorversionsof the SOFTWAREPRODUCT.
Termination -Without prejudice to anyotherrights, DSCmayterminate thisEULAifYou failto complywith the termsand conditionsof thisEULA. In such
event, You mustdestroyallcopiesof the SOFTWAREPRODUCT and allof itscomponent parts.
Trademarks - ThisEULAdoesnot grant You anyrightsin connection with anytrademarksorservice marksofDSCoritssuppliers.
3. COPYRIGHT
Alltitle and intellectualpropertyrightsin and to the SOFTWAREPRODUCT(including but not limited to anyimages, photographs,and text incorporated
into the SOFTWAREPRODUCT), the accompanying printed materials, and anycopies of the SOFTWARE PRODUCT, are owned by DSC or its sup-
pliers. You maynot copythe printed materials accompanying the SOFTWAREPRODUCT. Alltitle and intellectual propertyrights in and to the content
which maybe accessed through use of the SOFTWAREPRODUCT arethe propertyof the respective content ownerand may be protected by applic-
able copyright orotherintellectualpropertylawsand treaties. ThisEULAgrantsYou no rightsto use such content. Allrightsnot expresslygranted under
thisEULAare reserved byDSC and itssuppliers.
EXPORT RESTRICTIONS-You agree that You willnot export orre-exportthe SOFTWAREPRODUCTto anycountry, person, orentitysubjectto Cana-
dian export restrictions.
CHOICEOFLAW-ThisSoftwareLicenseAgreement isgoverned bythe lawsof the Province of Ontario,Canada.
ARBITRATION - Alldisputesarising in connection with thisAgreement shallbe determined byfinal and binding arbitration in accordance with the Arbit-
ration Act,and the partiesagree to be bound bythe arbitrator’s decision.The place of arbitration shallbe Toronto, Canada, and the language of the
arbitration shallbe English.
LIMITED WARRANTY
NO WARRANTY -DSC PROVIDESTHESOFTWARE“ASIS”WITHOUT WARRANTY.DSC DOESNOTWARRANT THATTHESOFTWAREWILL MEET
YOUR REQUIREMENTSOR THATOPERATION OFTHESOFTWAREWILL BEUNINTERRUPTED ORERROR-FREE.
CHANGES IN OPERATING ENVIRONMENT - DSC shall not be responsible for problemscaused bychanges in the operating characteristics of the
HARDWARE,orforproblemsin the interaction of the SOFTWAREPRODUCT with non-DSC-SOFTWAREorHARDWAREPRODUCTS.
LIMITATION OF LIABILITY; WARRANTY REFLECTS ALLOCATION OF RISK - IN ANY EVENT, IF ANY STATUTE IMPLIES WARRANTIES OR
CONDITIONSNOT STATED IN THISLICENSE AGREEMENT, DSC’S ENTIRELIABILITY UNDER ANY PROVISION OF THISLICENSE AGREEMENT
SHALL BELIMITEDTO THEGREATER OFTHE AMOUNTACTUALLYPAID BY YOU TOLICENSETHE SOFTWAREPRODUCT AND FIVE CANADIAN
DOLLARS (CAD$5.00). BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR
CONSEQUENTIAL OR INCIDENTAL DAMAGES, THEABOVELIMITATION MAYNOTAPPLYTO YOU.
DISCLAIMER OF WARRANTIES - THIS WARRANTY CONTAINS THE ENTIRE WARRANTY AND SHALL BE IN LIEU OF ANY AND ALL OTHER
WARRANTIES, WHETHER EXPRESSED OR IMPLIED (INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A
PARTICULAR PURPOSE)AND OFALL OTHER OBLIGATIONSOR LIABILITIESON THEPART OFDSC. DSC MAKESNOOTHER WARRANTIES. DSC
NEITHER ASSUMES NOR AUTHORIZES ANY OTHER PERSON PURPORTING TO ACT ON ITS BEHALF TO MOD8IFY OR TO CHANGE THIS
WARRANTY,NOR TOASSUMEFOR ITANYOTHERWARRANTYOR LIABILITYCONCERNINGTHISSOFTWAREPRODUCT.
EXCLUSIVE REMEDY AND LIMITATION OF WARRANTY - UNDER NO CIRCUMSTANCES SHALL DSC BE LIABLE FOR ANY SPECIAL,
INCIDENTAL, CONSEQUENTIAL OR INDIRECT DAMAGES BASED UPON BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE,
STRICT LIABILITY,OR ANYOTHER LEGAL THEORY. SUCH DAMAGES INCLUDE,BUTARE NOTLIMITED TO, LOSS OFPROFITS, LOSSOF THE
SOFTWARE PRODUCT OR ANY ASSOCIATED EQUIPMENT, COST OF CAPITAL, COST OF SUBSTITUTE OR REPLACEMENT EQUIPMENT,
FACILITIES OR SERVICES, DOWN TIME, PURCHASERS TIME, THE CLAIMS OF THIRD PARTIES, INCLUDING CUSTOMERS, AND INJURY TO
PROPERTY.
