D.damagecausedbyfire,flood,earthquake,water,wind,lightningorothernaturaldisaster,strike,inabilitytoobtainmaterialsorutilities,war,
terrorism,civildisturbance,oranyothercausebeyondDaktronics’reasonablecontrol;
E.failuretoadjust,repairorreplaceanyitemofEquipmentifitwouldbeimpracticalforDaktronicspersonneltodosobecauseofconnectionofthe
EquipmentbymechanicalorelectricalmeanstoanotherdevicenotsuppliedbyDaktronics,ortheexistenceofgeneralenvironmentalconditionsatthe
sitethatposeadangertoDaktronicspersonnel;
F.statementsmadeabouttheproductbyanysalesperson,dealer,distributororagent,unlesssuchstatementsareinawrittendocumentsignedbyan
officerofDaktronics.Suchstatementsasarenotincludedinasignedwritingdonotconstitutewarranties,shallnotberelieduponbyE n dUserandare
notpartofthecontractofsale;
G.damagearisingfromtheuseofDaktronicsproductsinanyapplicationotherthanthecommercialandindustrialapplicationsforwhichtheyare
intended,unless,uponrequest,suchuseisspecificallyapprovedinwritingbyDaktronics;
H.replenishmentofspareparts.IntheeventtheEquipmentwaspurchasedwithasparepartspackage,thepartiesacknowledgeandagreethatthe
sparepartspackageisdesignedtoexhaustoverthelifeoftheEquipment,andassuch,thereplenishmentofthesparepartspackageisnotincludedin
thescopeofthisWarranty;
I.securityorfunctionalityoftheEndUser’snetworkorsystems,oranti‐virussoftwareupdates;
J.performanceofpreventivemaintenance;
K.third‐partysystemsandotherancillaryequipment,includingwithoutlimitationfront‐endvideocontrolsystems,audiosystems,videoprocessors
andplayers,HVACequipment,batteriesandLCDscreens;
L.incorporationofaccessories,attachments,softwareorotherdevicesnotfurnishedbyDaktronics;or
M.paintorrefinishingtheEquipmentorfurnishingmaterialforthispurpose.
3. LimitationofLiability
DaktronicsshallbeundernoobligationtofurnishcontinuedserviceunderthisWarrantyifalterationsaremadetotheEquipmentwithouttheprior
writtenapprovalofDaktronics.
It is specifically agreed that the price of the Equipment is based upon the following l i mi tation of liability.In no even t shall Daktronics (including its
subsidiaries,affiliates,officers,directors,employees,oragents)beliablefo ranyclaimsassertingorbasedon(a)lossofuseofthefacilityorequipment;
lostbusiness,revenues,orprofits;lossofgoodwill;failureorincreasedcostofoperations;loss,damageorcorruptionofdata;lossresultingfromsystem
orservicefailure,malfunction,incompatibility,orbreachesinsystemsecurity;or(b)anyspecial,consequential,incidentalorexemplarydamagesarising
outoforinany wayconnectedwiththeEquipment orotherwise,includingbutnotlimitedtodamagesforlostprofits,costofsub s ti t u teorreplacement
equipment,downtime,injury to property or anydamagesor sums paid tothird parties,evenifDaktronicshas been advisedofthepossibility of such
damages.The foregoing limitation of liability shall apply whether any claimis based upon princip les of contract, tort or statutory duty, principles of
indemnityorcontribution,orotherwise.
InnoeventshallDaktronicsbeliableforloss,damage,orinjuryofanykindornaturearisingoutoforinconnectionwiththisWarrantyinexcessofthe
PurchasePrice ofthe Equipment.TheEnd User’sremedy inany disputeunder thisWarranty shall be ultimately limited to thePurchase Price of the
EquipmenttotheextentthePurchasePricehasbeenpaid.
4. AssignmentofRights
TheWarrantycontainedhereinextendsonlytotheEndUser(whichmaybethePurchaser)oftheEquipmentandnoattempttoextendtheWarrantyto
anysubsequentuser‐transfereeoftheEquipmentshallbevalidorenforceablewithouttheexpresswrittenconsentofDaktronics.
5.GoverningLaw
TherightsandobligationsofthepartiesunderthisWarrantyshallnotbegovernedbyt heprovisionsoftheUnitedNationsConventiononContractsfor
the International Sales o f Goods of 1980.The parties consent to the application of the laws of th e State of South Dakota to govern, interpret, and
enforceeachoftheparties’rights,duties,andobligationsarisingfrom,orrelatinginanymannerto,thesubjectmatterofthisWarranty,withoutregard
toconflictoflawprinciples.
6. AvailabilityofExtendedServiceAgreement
ForEndUser’sprotection,inadditiontothataffordedbythewarrantiessetforthherein,EndUsermaypurchaseextendedwarrantyservicestocover
theEquipment.TheExtendedServiceAgreement,availablefromDaktronics,providesforelectronicpartsrepairand/oron‐sitelaborforanextended
periodfromthedateofexpirationofthiswarranty.Alternatively,anExtendedServiceAgreementmaybepurchasedinconjunctionwiththisWarranty
