1Thecontractingparties
1.1ThisAgreementhasbeenenteredintobyandbetweenNNGKft.(registeredseat:23Bérc
utca,H-1016Budapest,Hungary;Companyreg.no.:01-09-891838)asLicensor(hereinafter:
Licensor)andYouastheUser(hereinafter:User;theUserandtheLicensorjointlyreferredto
as:Parties)insubjectoftheuseofthesoftwareproductspecifiedinthisAgreement.
2ConclusionoftheAgreement
2.1 The Parties hereby acknowledge that this Agreement shall be concluded by implicit
conductofthePartieswithoutsigningtheAgreement,
2.2 The User hereby acknowledges that following the lawful acquisition of the s oftware
product constitutingtheobjectof thisAgreement(Section4), anydegreeof use,installation
intoa computerorotherhardware,installationofsuchhardwareintoavehicle,pressingofthe
“Accept”buttondisplayedbythesoftwareduringinstallationoruse(hereinafterreferredtoas
Use)shall mean that theU ser hasacceptedthe terms andconditionsof this Agreementas
legallybinding.
2.3 This Agreement shall b y no means authorise use of the software product by t hose
personshavingunlawfullyacquiredthesoftwareproductorhavingunlawfullyinstalleditona
computerorinavehicle.
3Relevantlawsandregulations
3.1 Any action related to this Agreement will be governed by the laws of the Republic of
Hungary,withspecificreferencetoActIVof1959ontheCivilCodeandtoActLXXVIof1999
onCopyrightsshallapply.
3.2 The original language version of this A greement i s the Hungarian version. This
Agreementhasversionsinotherlanguagesaswell.IncaseofdisputetheHungarianversion
shallprevail.
4ObjectoftheAgreementandTermination
4.1 The object of this Agreement shall be the navigation guidance software product of
Licensor(hereinafterreferredtoastheSoftwareProduct).
4.2 The Software Product shall i nclude the operating computer program, its complete
documentation,themapdatabasepertainingtheretoandanythird-partycontentandservices
accessiblethroughtheSoftwareProduct(hereinafter:Database).
4.3 Any form of display, storage, coding, i ncluding printed, electronic or graphic display,
storage, source or object code, or any other as yet undefined form of display, s torage, or
coding,oranymediumthereofshallbedeemedpartsoftheSoftwareProduct.
4.4 Error corrections, additions, updates used by the User following the conclusion of this
AgreementshallalsobedeemedpartsoftheSoftwareProduct.
4.5 YourrightsunderthisAgreementwillterminateimmediatelywithoutnoticefromLicensor
if youmateriallybreach it or take anyac tion in derogation ofLicensor'sand/or its licensors'
rightstot heS oftwareProduct. Licensor may terminatethisAgreementshouldany Software
Productbecome,orinLicensor'sreasonableopinionlikelytobecome,thesubjectofaclaim
of intellectual property infringement or trade s ecret misappropriation. Upon termination, you
willceaseuseof,anddestroySoftwareProductandconfirmcomplianceinwritingtoLicensor

5.1Unlessotherwiseprovidedbylaw orcontractualprovisions,theLicensoristhe soleand
exclusiveownerofallmaterialcopyrightsvestedintheSoftwareProduct.
5.2CopyrightsextendtothewholeSoftwareProductandtoitspartsseparatelyaswell.
5.3 The owner(s) of the copyrightsof the Database formingpart of the Software Product is
(are)thenaturalperson(s)orcorporateentity(ies)listedintheAppendixtothisAgreementor
in the “About” menu item of the operating computer programme (hereinafter referred to as
DatabaseOwner).Theuser'smanualoftheSoftwareProductincludesthenameofthemenu
optionwherealltheownersoftheDatabaseitemsarelisted.TheLicensorherebystatesthat
ithasobtainedsufficientusageandrepresentationrightsfromtheDatabaseownersinorder
