ThisSoftwareLicenseAgreement("Agreement")is
betweenyou(“Licensee”)andTaitInternationalLimited
(“Tait").
ByusinganyoftheSoftwareitemsembeddedandpre-
loadedintherelatedTaitDesignatedProduct,included
onCD,downloadedfromtheTaitwebsite,orprovidedin
anyotherform,youagreetobeboundbythetermsof
thisAgreement.Ifyoudonotagreetothetermsofthis
Agreement,donotinstalloruseanyoftheSoftware.If
youinstalloruseanyoftheSoftware,thatwillbe
deemedtobeacceptanceofthetermsofthisAgree-
ment.
Forgoodandvaluableconsideration,thepartiesagree
asfollows:
Section 1 DEFINITIONS
“ConfidentialInformation”meansalloranyinformation
suppliedtoorreceivedbyLicenseefromTait,whether
beforeorafterinstallationoruseandwhetherdirectlyor
indirectlypertainingtotheSoftwareandDocumentation
suppliedbyTait,includingwithoutlimitationallinform-
ationrelatingtotheDesignatedProducts,hardware,
software;copyright,designregistrations,trademarks;
operations,processes,andrelatedbusinessaffairsof
Tait;andincludinganyothergoodsorpropertysupplied
byTaittoLicenseepursuanttothetermsofthisAgree-
ment.
“Designated Products”meansproductsprovidedby
TaittoLicenseewithwhichorforwhichtheSoftware
andDocumentationislicensedforuse.
“Documentation”meansproductandsoftwaredoc-
umentationthatspecifiestechnicalandperformancefea-
turesandcapabilities;user,operation,andtraining
manualsfortheSoftware;andallphysicalorelectronic
mediauponwhichsuchinformationisprovided.
“Executable Code”meansSoftwareinaformthatcan
beruninacomputerandtypicallyreferstomachinelan-
guage,whichiscomprisedofnativeinstructionsthe
computercarriesoutinhardware.Executablecodemay
alsorefertoprogramswrittenininterpretedlanguages
thatrequireadditionalsoftwaretoactuallyexecute.
“Intellectual Property Rights”and“Intellectual Prop-
erty”meanthefollowingortheirsubstantialequivalents
orcounterparts,recognizedbyorthroughactionbefore
anygovernmentalauthorityinanyjurisdictionthrough-
outtheworldandincluding,butnotlimitedtoallrightsin
patents,patentapplications,inventions,copyrights,
trademarks,tradesecrets,tradenames,andotherpro-
prietaryrightsinorrelatingtotheSoftwareandDocu-
mentation;includinganyadaptations,corrections,de-
compilations,disassemblies,emulations,enhance-
mentsfixes,modifications,translationsandupdatesto
orderivativeworksfrom,theSoftwareorDocu-
mentation,whethermadebyTaitoranotherparty,or
anyimprovementsthatresultfromTaitprocessesor,
provisionofinformationservices.
“Licensee”meansanyindividualorentitythathas
acceptedthetermsofthisLicense.
“Open Source Software”meanssoftwarewithfreely
obtainablesourcecodeandlicenseformodification,or
permissionforfreedistribution.
“Open Source Software License”meansthetermsor
conditionsunderwhichtheOpenSourceSoftwareis
licensed.
“Person”meansanyindividual,partnership,cor-
poration,association,jointstockcompany,trust,joint
venture,limitedliabilitycompany,governmentalauthor-
ity,soleproprietorship,orotherformoflegalentityrecog-
nizedbyagovernmentalauthority.
“Security Vulnerability”meansanyflaworweakness
insystemsecurityprocedures,design,implementation,
orinternalcontrolsthatifexercised(accidentally
triggeredorintentionallyexploited)couldresultina
securitybreachsuchthatdataiscompromised,manip-
ulated,orstolen,orasystemisdamaged.
“Software”(i)meansproprietarysoftwareinexecutable
codeformat,andadaptations,translations,de-com-
pilations,disassemblies,emulations,orderivative
worksofsuchsoftware;(ii)meansanymodifications,
newversionsandnewreleasesofthesoftwareprovided
byTait;(iii)meansanyupgrades,enhancementsor
otherfunctionsorfeaturestotheSoftwareprovidedby
Tait;and(iv)maycontainoneormoreitemsofsoftware
ownedbyathird-partysupplier.Theterm"Software"
includestheapplicable“SoftwareKey”anddoesnot
includeanythird-partysoftwareprovidedunderseparate
licenseornotlicensableunderthetermsofthisAgree-
ment.
“Source Code”meanssoftwareexpressedinhuman
readablelanguagenecessaryforunderstanding,main-
taining,modifying,correcting,andenhancinganysoft-
warereferredtointhisAgreementandincludesall
