10. MISCELLANEOUS.
10.1 G overn in g Law. This Agreement shall be governed by th e law s of th e State of California, as such
laws are applied to agreements entered into and to be performed entirely within California between
California residents, and by the laws of the United States. The United Nations Convention on Contracts for
the International Sale of Good s (1980) is hereby exclu d ed in its entirety from app lication to this
Agreement.
10.2 G eneral. This Agreem en t rep resents th e com p lete agreem ent concerning this license and m ay
amend ed only by a writing executed by both p arties. If any p rovision of this Agreement is held to be
unenforceable, such p rovision shall be reformed only to the extent necessary to make it enforceable.

for any reason, please contact the Polycom office serving your country.
10.4 U.S. Govern m en t Restricted Righ ts. The softw are and d ocu mentation provid ed by Polycom
pursu ant to this Agreem en t are “Com mercial Item s,” as the term is d efined at 48 C.F.R. §2.101, consisting
of “Commercial Computer Software” and “Commercial Computer Software Documentation,” as such
terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as ap p licable. Consistent with 48 C.F.R. §12.212
or 48 C.F.R. §§227.7202-1 through 227.7202-4, as applicable, the Comm ercial Comp u ter Software and
Commercial Computer Software Documentation are licensed to United States Government end users (1)
only as Commercial Item s and (2) with only those rights as are granted to all other users pursu ant to the
terms of this Agreement.
