5. PROTECTIONANDSECURITY.YouagreenottodeliverorotherwisemakeavailabletheLicensedMaterialsoranypart
thereof,includingwithoutlimitationtheobjectorsourcecode(ifprovided)oftheLicensedSoftware,toanypartyotherthan
Enterasysoritsemployees,exceptforpurposesspecificallyrelatedtoyouruseoftheLicensedSoftwareonasinglecomputeras
expresslyprovidedinthisAgreement,withoutthepriorwrittenconsentofEnterasys.Youagreetouseyourbesteffortsandtake
allreasonablestepstosafeguardtheLicensedMaterialstoensurethatnounauthorizedpersonnelshallhaveaccesstheretoand
thatno
unauthorizedcopy,publication,disclosure,ordistribution,inwholeorinpart,inanyformshallbemade,andYouagree
tonotifyEnterasysofanyunauthorizedusethereof.YouacknowledgethattheLicensedMaterialscontainvaluableconfidential
informationandtradesecrets,andthatunauthorizeduse,copyingand/ordisclosurethereofareharmful
toEnterasysorits
Affiliatesand/orits/theirsoftwaresuppliers.
6. MAINTENANCEANDUPDATES.Updatesandcertainmaintenanceandsupportservices,ifany,shallbeprovidedto
YoupursuanttothetermsofaEnterasysServiceandMaintenanceAgreement,ifEnterasysandYouenterintosuchan
agreement.Exceptasspecificallysetforth
insuchagreement,EnterasysshallnotbeunderanyobligationtoprovideSoftware
Updates,modifications,orenhancements,orSoftwaremaintenanceandsupportservicestoYou.
7. DEFAULTANDTERMINATION.IntheeventthatYoushallfailtokeep,observe,orperformanyobligationunderthis
Agreement,includingafailuretopayany
sumsduetoEnterasys,Enterasysmay,inadditiontoanyotherremediesitmayhave
underlaw,terminatetheLicenseandanyotheragreementsbetweenEnterasysandYou.
(a) ImmediatelyafterterminationoftheAgreementorifYouhaveforanyreasondiscontinueduseofSoftware,Youshall
returntoEnterasysthe
originalandanycopiesoftheLicensedMaterialsandremovetheLicensedSoftwarefromany
modularworksmadepursuanttoSection3,andcertifyinwritingthatthroughyourbesteffortsandtothebestofyour
knowledgetheoriginalandallcopiesoftheterminatedordiscontinuedLicensedMaterialshavebeenreturnedto
Enterasys.
(b) Sections4,5,7,8,9,10,11,and12shallsurviveterminationofthisAgreementforanyreason.
8. EXPORTREQUIREMENTS.YouunderstandthatEnterasysanditsAffiliatesaresubjecttoregulationbyagenciesofthe
U.S.Government,includingtheU.S.DepartmentofCommerce,whichprohibit
exportordiversionofcertaintechnicalproducts
tocertaincountries,unlessalicensetoexporttheproductisobtainedfromtheU.S.Governmentoranexceptionfromobtaining
suchlicensemayberelieduponbytheexportingparty.
IftheLicensedMaterialsareexportedfromtheUnitedStatespursuanttotheLicenseExceptionCIVundertheU.S.Export
AdministrationRegulations,YouagreethatYouareacivilenduseroftheLicensedMaterialsandagreethatYouwillusethe
LicensedMaterialsforcivilendusesonlyandnotformilitarypurposes.
IftheLicensedMaterialsareexportedfromtheUnitedStatespursuanttotheLicenseExceptionTSRundertheU.S.Export
AdministrationRegulations,inadditiontotherestrictionontransfersetforthinSection4ofthisAgreement,Youagreenotto
(i)reexportorreleasetheLicensedSoftware,thesourcecodefortheLicensedSoftwareortechnologytoanationalof
acountry
inCountryGroupsD:1orE:2(Albania,Armenia,Azerbaijan,Belarus,Bulgaria,Cambodia,Cuba,Estonia,Georgia,Iraq,
Kazakhstan,Kyrgyzstan,Laos,Latvia,Libya, Lithuania,Moldova,NorthKorea,thePeople’sRepublicofChina,Romania,
Russia,Rwanda,Tajikistan,Turkmenistan,Ukraine,Uzbekistan,Vietnam,orsuchothercountriesasmaybedesignatedbythe
UnitedStatesGovernment),(ii)exporttoCountryGroupsD:1orE:2(asdefinedherein)thedirectproductoftheLicensed
Softwareorthetechnology,ifsuchforeignproduceddirectproductissubjecttonationalsecuritycontrolsasidentifiedonthe
U.S.CommerceControlList,or(iii)ifthedirectproductof
thetechnologyisacompleteplantoranymajorcomponentofa
plant,exporttoCountryGroupsD:1orE:2thedirectproductoftheplantoramajorcomponentthereof,ifsuchforeign
produceddirectproductissubjecttonationalsecuritycontrolsasidentifiedontheU.S.Commerce
ControlListorissubjectto
StateDepartmentcontrolsundertheU.S.MunitionsList.
9. UNITEDSTATESGOVERNMENTRESTRICTEDRIGHTS.TheenclosedProduct(i)wasdevelopedsolelyatprivate
expense;(ii)contains“restrictedcomputersoftware”submittedwithrestrictedrightsinaccordancewithsection52.227‐19(a)
through(d)oftheCommercial
ComputerSoftware‐RestrictedRightsClauseanditssuccessors,and(iii)inallrespectsis
proprietarydatabelongingtoEnterasysand/oritssuppliers.ForDepartmentofDefenseunits,theProductisconsidered
commercialcomputersoftwareinaccordancewithDFARSsection227.7202‐3anditssuccessors,anduse,duplication,or
disclosurebythe
Governmentissubjecttorestrictionssetforthherein.
10. LIMITEDWARRANTYANDLIMITATIONOFLIABILITY.TheonlywarrantyEnterasysmakestoYouinconnection
withthislicenseoftheLicensedMaterialsisthatifthemediaonwhichtheLicensedSoftwareisrecordedisdefective,itwillbe
replacedwithoutcharge,
ifEnterasysingoodfaithdeterminesthatthemediaandproofofpaymentofthelicensefeeare
returnedtoEnterasysorthedealerfromwhomitwasobtainedwithinninety(90)daysofthedateofpaymentofthelicensefee.
