warrantygivesYouspecificlegalrights,andYoumayalsohaveotherrightswhichvaryfromstatetostate.
11. JURISDICTION.TherightsandobligationsofthepartiestothisAgreementshallbegovernedandconstruedin
accordancewiththelawsandintheStateandFederalcourtsoftheCommonwealthofMassachusetts,withoutregardtoitsrules
withrespecttochoiceoflaw.Youwaiveanyobjectionstothepersonaljurisdictionandvenueofsuchcourts.
12. GENERAL.
(a) ThisAgreementshallnotbeassignablebyYouwithouttheexpresswrittenconsentofEnterasys.Therightsof
EnterasysandYourobligationsunderthisAgreement
shallinuretothebenefitofEnterasys’assignees,licensors,and
licensees.
(b) SectionheadingsareforconvenienceonlyandshallnotbeconsideredintheinterpretationofthisAgreement.
(c) TheprovisionsoftheAgreementareseverableandifanyoneormoreoftheprovisionshereofarejudiciallydetermined
tobeillegal
orotherwiseunenforceable,inwholeorinpart,theremainingprovisionsofthisAgreementshall
neverthelessbebindingonandenforceablebyandbetweenthepartieshereto.
(d) Enterasys’waiverofanyrightshallnotconstitutewaiverofthatrightinfuture.ThisAgreementconstitutestheentire
understandingbetweenthepartieswith
respecttothesubjectmatterhereof,andallprioragreements,representations,
statementsandundertakings,oralorwritten,areherebyexpresslysupersededandcanceled.Nopurchaseordershall
supersedethisAgreement.
(e) ShouldYouhaveanyquestionsregardingthisAgreement,YoumaycontactEnterasysattheaddresssetforthbelow.
